【摘要】：新、舊《公司法》對(duì)比,新公司法在立法水平和立法技術(shù)方面都具有顯著的提高,尤其應(yīng)當(dāng)看到,我國(guó)為了適應(yīng)國(guó)際、國(guó)內(nèi)市場(chǎng)形勢(shì)的變化,引入了一人公司法律制度。這對(duì)于在市場(chǎng)經(jīng)濟(jì)條件下,豐富公司形式、鼓勵(lì)更多的主體參與市場(chǎng)競(jìng)爭(zhēng)具有重大意義。但我們也應(yīng)當(dāng)看到我國(guó)的一人公司制度還處在剛剛起步階段,在很多方面還存在著不足和弊端。本文從一人公司的理論入手,結(jié)合我國(guó)現(xiàn)行一人公司相關(guān)立法,充分分析我國(guó)一人公司制度現(xiàn)存問(wèn)題及在實(shí)踐中可能帶來(lái)的后果,結(jié)合探究?jī)纱蠓ㄏ祵?duì)一人公司的法律規(guī)制,提出了完善一人公司制度的建議。本文共分五章如下： 第一章緒論。本部分概括介紹了本文的寫(xiě)作依據(jù)、國(guó)內(nèi)外研究現(xiàn)狀、論文選題的目的意義、研究方法等內(nèi)容。 第二章一人公司法律制度概述。首先,介紹了一人公司的歷史演進(jìn)。其次,分析了一人公司的法律性質(zhì),再次,闡述了一人公司對(duì)傳統(tǒng)理論、制度的沖擊。最后,比較了一人公司與獨(dú)資公司的異同。 第三章我國(guó)一人公司立法現(xiàn)狀及實(shí)踐評(píng)價(jià)。首先,對(duì)我國(guó)一人公司立法現(xiàn)狀進(jìn)行了簡(jiǎn)要闡述。其次,對(duì)我國(guó)一人公司立法實(shí)踐進(jìn)行了評(píng)價(jià)。 第四章國(guó)外一人公司法律制度研究。介紹了發(fā)達(dá)國(guó)家一人公司法律制度,通過(guò)各國(guó)對(duì)一人公司態(tài)度、立法等進(jìn)行比較得出規(guī)律。 第五章完善我國(guó)一人公司法律制度立法建議。這部分是本文的核心,本文從事前、事中、事后三個(gè)階段對(duì)一人公司制度進(jìn)行完善,通過(guò)對(duì)一人公司自身強(qiáng)化監(jiān)管、營(yíng)造外部發(fā)展環(huán)境兩個(gè)方面完善了一人公司法律制度。
[Abstract]:Compared with the old and the new company law, the new company law has a remarkable improvement in the legislative level and legislative technology. Especially, in order to adapt to the changes of the international and domestic market situation, the one-man company legal system has been introduced in our country. This is of great significance to enrich the form of company and encourage more subjects to participate in market competition under the condition of market economy. However, we should also see that the one-man company system is still in its infancy, and there are still shortcomings and drawbacks in many aspects. Starting from the theory of one-man company, combined with the current legislation of one-man company, this paper fully analyzes the existing problems of one-man company system and the possible consequences in practice, and probes into the legal regulation of one-person company in two legal systems. The suggestion of perfecting the system of one-man company is put forward. This paper is divided into five chapters as follows: the first chapter is an introduction. This part introduces the writing basis, domestic and foreign research status, the purpose and significance of the topic, research methods and so on. The second chapter summarizes the legal system of one-man company. First, the history of one-man company is introduced. Secondly, it analyzes the legal nature of one-man company, and expounds the impact of one-man company on traditional theory and system. Finally, the similarities and differences between one-man company and sole proprietorship company are compared. The third chapter is the legislative status and practice evaluation of one-man company in our country. First of all, the legislative status of one-man company in China is briefly described. Secondly, the legislative practice of one-man company is evaluated. The fourth chapter studies the legal system of one-man company abroad. This paper introduces the legal system of one-man company in developed countries, and obtains the law by comparing the attitude and legislation of one-man company in various countries. The fifth chapter consummates our country one-person company legal system legislation proposal. This part is the core of this paper, this article from the prior, the matter, after the three stages to improve the one-man company system, through the one-man company itself to strengthen supervision, create an external development environment to improve the one-man company legal system.
