【摘要】：改革開(kāi)放以來(lái),我國(guó)從傳統(tǒng)計(jì)劃經(jīng)濟(jì)向社會(huì)主義市場(chǎng)經(jīng)濟(jì)轉(zhuǎn)型期間,老的國(guó)有企業(yè)進(jìn)行了公司化改制,新成立的企業(yè)全部按《公司法》規(guī)范。在全新的市場(chǎng)競(jìng)爭(zhēng)體制下,不少發(fā)展迅速的企業(yè)紛紛暴露出了法律風(fēng)險(xiǎn)防范滯后的弊端,從而引發(fā)了難以挽回的危機(jī),嚴(yán)重的甚至導(dǎo)致了企業(yè)破產(chǎn)。除市場(chǎng)競(jìng)爭(zhēng)因素外,很多企業(yè)忽視其成長(zhǎng)過(guò)程中的法律風(fēng)險(xiǎn)防范機(jī)制是一個(gè)重要的原因,法律風(fēng)險(xiǎn)防范越來(lái)越成為企業(yè)運(yùn)營(yíng)和發(fā)展面臨的重大課題。企業(yè)在參與市場(chǎng)競(jìng)爭(zhēng)中面臨各種風(fēng)險(xiǎn),其中以法律責(zé)任承擔(dān)為特征的法律風(fēng)險(xiǎn),具有可預(yù)防性和可避免性。任何企業(yè)都時(shí)時(shí)刻刻面臨著法律風(fēng)險(xiǎn),因此必須重視法律風(fēng)險(xiǎn)的防范和化解,建立適合企業(yè)自身發(fā)展需要的法律風(fēng)險(xiǎn)防范機(jī)制。
[Abstract]:Since the reform and opening to the outside world, during the transition from the traditional planned economy to the socialist market economy, the old state-owned enterprises have been corporatized, and all the newly established enterprises have been established in accordance with the norms of the Company Law. Under the new market competition system, many rapidly developing enterprises have exposed the disadvantages of legal risk prevention lagging behind, which has led to irreparable crisis, serious even led to enterprise bankruptcy. In addition to the market competition factors, many enterprises ignore the legal risk prevention mechanism in the process of their growth is an important reason, legal risk prevention has become an important issue facing the operation and development of enterprises. Enterprises are faced with various kinds of risks in participating in market competition, among which legal risks, characterized by legal liability, are preventable and avoidable. Every enterprise is faced with the legal risk all the time, so we must pay attention to the prevention and solution of the legal risk, and establish the legal risk prevention mechanism suitable for the development of the enterprise itself.
