【摘要】：當(dāng)今世界,企業(yè)集團(tuán)已成為社會(huì)經(jīng)濟(jì)中的主角。企業(yè)集團(tuán)的出現(xiàn)一方面為單一企業(yè)解決管理效率低下、資金不足、防范金融風(fēng)險(xiǎn)提供了一條有效的途徑,另一方面企業(yè)集團(tuán)這種組織形式也存在著弊端,關(guān)聯(lián)交易便是其諸多弊端之一。企業(yè)集團(tuán)關(guān)聯(lián)交易帶來的危害案件屢見不鮮,世界各國(guó)也紛紛采取必要手段對(duì)其進(jìn)行規(guī)制。相比較而言我國(guó)企業(yè)集團(tuán)出現(xiàn)比較晚,但關(guān)聯(lián)交易所帶來的危害卻更勝一籌,企業(yè)集團(tuán)通過關(guān)聯(lián)交易來掌握控制權(quán)和決策權(quán)、規(guī)避國(guó)家法律來達(dá)到獲取最大利潤(rùn)的目的。筆者將在對(duì)與企業(yè)集團(tuán)關(guān)聯(lián)交易有關(guān)基礎(chǔ)性問題進(jìn)行介紹的基礎(chǔ)上,對(duì)比分析我國(guó)與國(guó)際上先進(jìn)國(guó)家對(duì)企業(yè)集團(tuán)關(guān)聯(lián)交易規(guī)制的措施,明確我國(guó)在公司法、證券法、稅法等其它法律法規(guī)中對(duì)企業(yè)集團(tuán)關(guān)聯(lián)交易規(guī)制上所存在的不足,并在文章的結(jié)尾部分提出完善我國(guó)對(duì)企業(yè)集團(tuán)關(guān)聯(lián)交易規(guī)制的建議。
[Abstract]:In today's world, enterprise groups have become the protagonists of social economy. On the one hand, the emergence of enterprise groups provides an effective way for a single enterprise to solve the problem of low management efficiency, insufficient capital and financial risk prevention. On the other hand, there are also drawbacks in this organizational form of enterprise groups. Affiliated transaction is one of its many drawbacks. Related transactions of enterprise groups are common cases, and countries all over the world have taken necessary measures to regulate them. By comparison, the enterprise groups in our country appear late, but the harm brought by the affiliated exchanges is better. The enterprise groups control and make decisions through the affiliated transactions, and circumvent the national laws to achieve the purpose of obtaining the maximum profit. On the basis of introducing the basic issues related to the related transactions of enterprise groups, the author will compare and analyze the measures of regulating related transactions of enterprise groups in China and the advanced countries in the world, and make clear the company law and securities law of our country. In the end of the article, the author puts forward some suggestions on how to improve the regulation of related transactions of enterprise groups in China.
