【摘要】：本文以類別股份制度的本質(zhì)內(nèi)容為出發(fā)點(diǎn),從其產(chǎn)生與發(fā)展的過(guò)程開(kāi)始研究,旨在認(rèn)清類別股的基本屬性和存在價(jià)值,進(jìn)而總結(jié)出類別股份制度的功能定位和現(xiàn)實(shí)意義。其次,通過(guò)對(duì)我國(guó)類別股份制度的發(fā)展與現(xiàn)狀進(jìn)行研究,研究國(guó)內(nèi)類別股制度發(fā)展的不足與缺陷,再與發(fā)達(dá)國(guó)家的類別股份制度進(jìn)行比較法分析,進(jìn)而總結(jié)出值得我國(guó)參考和借鑒的類別股份規(guī)則。本文共有引言、正文、結(jié)論三大部分,其中,正文共分為四章。第一章為類別股份制度的概述,從對(duì)股份進(jìn)行分類的概念辨析開(kāi)始,明確類別股份的分類基礎(chǔ),即賦予股份上的權(quán)利與義務(wù),明確了這一基本概念,才能對(duì)類別股份制度進(jìn)行進(jìn)一步分析與研究。本章共分為三節(jié),分別對(duì)類別股份制度的概念、歷史沿革以及功能價(jià)值進(jìn)行論述。其中,歷史沿革主要介紹了類別股份制度的起源與發(fā)展,并簡(jiǎn)要介紹發(fā)達(dá)國(guó)家經(jīng)歷資本主義變革后對(duì)建立類別股份制度的經(jīng)驗(yàn)和實(shí)踐,為后文發(fā)達(dá)國(guó)家的歷史經(jīng)驗(yàn)介紹做鋪墊。第二章主要介紹類別股份制度在我國(guó)的實(shí)踐與發(fā)展。結(jié)合公司法的頒布與歷次修改,分析我國(guó)類別股份制度在立法領(lǐng)域的制度空間,其次分析我國(guó)在類別股份制度發(fā)展中的不足與缺陷,為我國(guó)尋找更為符合國(guó)情、更加適應(yīng)資本市場(chǎng)發(fā)展的配套機(jī)制打好基礎(chǔ)。第三章主要介紹類別股份制度在西方發(fā)達(dá)國(guó)家的發(fā)展歷程。將這一內(nèi)容利用一整章篇幅做介紹,西方法學(xué)家們基于此得來(lái)的法律理論更加具有說(shuō)服性和實(shí)用性,其寶貴經(jīng)驗(yàn)值得我國(guó)借鑒。本章的研究目的在于通過(guò)對(duì)西方國(guó)家類別股份制度的分析,總結(jié)出值得我國(guó)借鑒的幾大制度,如類別股東大會(huì)、表決權(quán)復(fù)活等。第四章是結(jié)合我國(guó)的國(guó)情,提出針對(duì)完善我國(guó)類別股份制度的法律建議。其中包括需要建立的相關(guān)制度以及進(jìn)行法律修改的必要性和內(nèi)容等。力求為我國(guó)建立類別股份制度提供參考。
[Abstract]:Based on the essential content of the class share system, this paper starts with the process of its emergence and development in order to recognize the basic attribute and the existing value of the class share system, and then sum up the functional orientation and practical significance of the class share system. Secondly, through the research on the development and present situation of the class share system in our country, it studies the deficiency and defect of the development of the domestic category share system, and then carries on the comparative analysis with the developed country's category share system. And then summarizes the reference and reference of the category of stock rules. There are three parts in this paper: introduction, text and conclusion, among which, the text is divided into four chapters. The first chapter is an overview of the system of classified shares, starting with the classification of the concept of shares, to clarify the classification of the basis of class shares, that is, to give shares on the rights and obligations, clearly defined this basic concept, Can carry on further analysis and research to the class share system. This chapter is divided into three sections, respectively, the concept of class-share system, historical evolution and functional value are discussed. Among them, the historical evolution mainly introduces the origin and development of the class share system, and briefly introduces the experience and practice of establishing the class share system after the developed countries experienced the capitalist transformation, paving the way for the later introduction of the historical experience of the developed countries. The second chapter mainly introduces the practice and development of class-share system in our country. Combined with the promulgation and revision of the Company Law, this paper analyzes the institutional space of China's class share system in the field of legislation, and then analyzes the shortcomings and defects in the development of the category share system in order to find out more suitable for the national conditions of our country. Better suited to the development of the capital market supporting mechanisms to lay a good foundation. The third chapter mainly introduces the development course of the class-share system in the western developed countries. By introducing this content in a whole chapter, the legal theories obtained by western jurists are more persuasive and practical, and their valuable experience is worth learning from our country. The purpose of this chapter is to sum up several systems worthy of our country's reference, such as the general meeting of class shareholders, the resurrection of voting rights and so on. The fourth chapter is to combine our country's national conditions, put forward to perfect our country class shares system of legal advice. Including the need to establish the relevant system and the necessity and content of legal amendments. To provide reference for the establishment of class shares system in China.
