【摘要】：在中國近代史上,商事立法是中國法制現(xiàn)代化的起點,晚清《公司律》是中國法制現(xiàn)代化的開篇之作。從《公司律》到南京國民政府《公司法》,移植西方國家法律制度是近代中國公司立法的主要途徑。但回顧近代中國公司立法史,我們發(fā)現(xiàn):近代中國公司立法為適應各時期工商經(jīng)濟發(fā)展的需要,從不缺少在移植基礎上的大膽創(chuàng)新。近代中國公司法一貫采用的集諸多公司類型于一體的單行法模式,對世界公司立法也是具有貢獻意義的立法經(jīng)驗。
[Abstract]:In the modern history of China, commercial legislation is the starting point of the modernization of Chinese legal system, and the late Qing Dynasty is the beginning of the modernization of China's legal system. From "Company Law" to "Nanjing National Government", transplanting western countries' legal system is the main way of modern Chinese company legislation. But looking back on the history of modern Chinese company legislation, we find that modern Chinese company legislation, in order to meet the needs of the development of industrial and commercial economy in various periods, has never lacked bold innovation on the basis of transplantation. Modern Chinese company law has always adopted a single law model that integrates many types of companies, which is also a significant legislative experience for the world's corporate legislation.
