【摘要】：全球經(jīng)濟(jì)一體化,科學(xué)技術(shù)直接轉(zhuǎn)化為生產(chǎn)力的速度越來越快,市場競爭不斷加劇,我國為了保持航運企業(yè)有利的競爭地位,必須通過船舶融資租賃方式增加投資,以支持高新技術(shù)新型船舶、海洋工程裝備以及重點配套設(shè)備的研發(fā)更新。因此,研究我國船舶融資租賃的法律體系,為我國船舶融資提供良好的法律保護(hù)環(huán)境成為亟待解決的問題。 與國外船舶融資租賃的法律理論相比,國內(nèi)關(guān)于船舶融資租賃法律問題的研究還尚欠成熟。我國的船舶融資租賃法律規(guī)定較為零散,與船舶融資租賃法律密切相關(guān)的合同法、物權(quán)法、金融法、海商法、公司法等這些法律法規(guī)的銜接,以及我國船舶融資租賃合同在實踐中的糾紛,因涉及金融創(chuàng)新和租船業(yè)務(wù),更增加了實體法律適用和司法審判的難度。 本文正是在這一背景下,在查閱大量國內(nèi)外最新文獻(xiàn)的前提下,在借鑒國外船舶融資租賃法律理論和方法的基礎(chǔ)上,在回溯融資租賃產(chǎn)生與發(fā)展的歷史背景的過程中,引出了我國船舶融資租賃的現(xiàn)狀,同時將船舶融資租賃過程中涉及的紛繁問題簡化為合同、登記、風(fēng)險等主要方面,對我國船舶融資租賃法律的若干問題條分縷析的進(jìn)行研究和探討,并在此基礎(chǔ)上提出了對我國船舶融資租賃模式的構(gòu)架。同時,針對我國現(xiàn)存法律規(guī)范對船舶融資租賃調(diào)整的局限性、相關(guān)部門法沖突或空白的情況,提出以健全和完善船舶融資租賃的立法、加大對船舶融資租賃的財稅扶植、強化對船舶融資租賃風(fēng)險管理與監(jiān)督的能力為基礎(chǔ),重構(gòu)我國船舶融資租賃法律體系,為我國船舶融資租賃的健康發(fā)展掃清障礙,使船舶融資租賃能夠成為航運業(yè)未來發(fā)展的一個重要融資方式和管理手段,這不僅對我國融資租賃業(yè)的發(fā)展具有積極意義,也必將會對我國船舶工業(yè)、航運業(yè)及相關(guān)產(chǎn)業(yè)的振興起到重要推動作用。
[Abstract]:With the integration of global economy, the speed of direct transformation of science and technology into productivity is becoming faster and faster, and the market competition is becoming more and more serious. In order to maintain the favorable competitive position of shipping enterprises, China must increase its investment by means of ship financing lease. To support new-tech ships, marine engineering equipment and key equipment R & D updates. Therefore, it is an urgent problem to study the legal system of ship financing lease in China and to provide a good legal protection environment for ship financing in our country. Compared with the foreign legal theory of ship finance lease, the domestic research on the legal issue of ship finance lease is still immature. The laws and regulations of ship financing lease in our country are scattered, which are closely related to the law of ship financing lease, such as contract law, property law, financial law, maritime law, company law and so on. As well as the disputes in the practice of ship financing lease contract in our country, because of the financial innovation and chartering business, the application of substantive law and the difficulty of judicial trial are increased. Under this background, on the premise of consulting a large number of latest domestic and foreign literatures, and on the basis of drawing lessons from the legal theories and methods of foreign ship financing lease, this paper traces the historical background of the emergence and development of financial lease. This paper introduces the present situation of ship finance lease in our country, and simplifies the numerous problems involved in the process of ship financing lease as contract, registration, risk and so on. This paper studies and discusses several problems in the law of ship financing lease in China, and puts forward the framework of the mode of ship finance lease in China on this basis. At the same time, in view of the limitation of the existing laws and regulations on the adjustment of the ship finance lease, and the conflict or blank situation of the relevant department law, this paper puts forward that to perfect and perfect the legislation of the ship financing lease, and increase the financial and tax support to the ship finance lease. On the basis of strengthening the ability of risk management and supervision of ship financing lease, we should reconstruct the legal system of ship finance lease in our country, and clear the way for the healthy development of ship finance lease in our country. So that ship finance lease can become an important financing method and management means for the future development of shipping industry, which is not only of positive significance to the development of our country's financing leasing industry, but also bound to the ship industry of our country. Shipping industry and the revitalization of related industries play an important role in promoting.
