【摘要】：我國(guó)公司法確立了公司財(cái)務(wù)會(huì)計(jì)制度,對(duì)于保護(hù)股東合法權(quán)益和維護(hù)公司的資本安全起到了重要作用。但我國(guó)公司法上的財(cái)務(wù)會(huì)計(jì)制度的私法屬性不是很明確,在股東、債權(quán)人等私權(quán)主體利益保護(hù)方面不是很完善。公司法應(yīng)當(dāng)轉(zhuǎn)變財(cái)務(wù)會(huì)計(jì)制度的價(jià)值定位,并且應(yīng)借鑒發(fā)達(dá)國(guó)家的公司立法,完善我國(guó)公司法上的財(cái)務(wù)會(huì)計(jì)報(bào)告制度和利潤(rùn)分配制度。
[Abstract]:The company law of our country establishes the financial accounting system of the company, which plays an important role in protecting the legal rights and interests of the shareholders and safeguarding the capital safety of the company. However, the private law attribute of the financial accounting system in our company law is not very clear, and it is not perfect in the protection of the interests of private subjects such as shareholders and creditors. The company law should change the value orientation of the financial accounting system, and should learn from the company legislation of the developed countries to perfect the financial accounting reporting system and profit distribution system in our company law.
