公司治理層面的職工參與法律制度研究

【摘要】:公司治理是適應(yīng)現(xiàn)代企業(yè)的所有權(quán)與控制權(quán)分離后解決代理權(quán)問題而設(shè)置的一種制度。良好的公司治理結(jié)構(gòu)對(duì)一個(gè)公司做大做強(qiáng)、良性發(fā)展具有決定性的作用,這已是世界各國公認(rèn)的事實(shí)。公司治理經(jīng)歷了從“股東本位”到“利益相關(guān)者”理論的轉(zhuǎn)化,與傳統(tǒng)的股東利益至上治理模式不同,利益相關(guān)者治理模式認(rèn)為,企業(yè)不僅要對(duì)股東負(fù)責(zé),而且要對(duì)與企業(yè)有經(jīng)濟(jì)利益關(guān)系的相關(guān)者負(fù)責(zé)。在利益相關(guān)者模式中,特別強(qiáng)調(diào)了企業(yè)職工的重要作用。在各國的實(shí)踐中,由于不同的政治制度和歷史傳統(tǒng),形成了不同的職工參與模式。代表性的有以工人委員會(huì)事實(shí)上扮演經(jīng)理人角色的前南斯拉夫模式、由經(jīng)理人控制公司決策的利害相關(guān)者模式和職工有限參與公司決策的歐陸共決模式。我國職工參與的立法從計(jì)劃經(jīng)濟(jì)的職工主人翁模式到社會(huì)主義市場(chǎng)經(jīng)濟(jì)的公司制度中的職工參與董監(jiān)事會(huì),經(jīng)歷了不同的模式,至今不同的參與體制仍然存在,這導(dǎo)致了我國職工參與在企業(yè)內(nèi)部結(jié)構(gòu)體系中紊亂不統(tǒng)一的特征,因此就必須在現(xiàn)有基礎(chǔ)上做出選擇,找到一條符合我國國情而又適應(yīng)市場(chǎng)經(jīng)濟(jì)特征的職工參與模式或路徑。 作為社會(huì)主義國家,我國歷來重視職工權(quán)利的保護(hù),在歷來的公司立法中都有有關(guān)職工參與的規(guī)定,尤其是2005年新《公司法》的出臺(tái),更加完善了職工參與制度的相關(guān)立法,加強(qiáng)了職工參與的法律保護(hù)。盡管如此,我國在職工參與法律制度上還存在很多問題,諸如職工代表大會(huì)形式化、工會(huì)不獨(dú)立、職工董監(jiān)事權(quán)限不明等問題。從職工大會(huì)、工會(huì)等公司制度層面,企業(yè)責(zé)任、企業(yè)倫理等非制度層面完善職工參與制度是行之有效的方法。本文就是在贊同利益相關(guān)者理論的公司治理理論的基礎(chǔ)上,選取職工參與這一影響公司治理的因素來展開論述的。
[Abstract]:Corporate governance is a system that adapts to the separation of ownership and control of modern enterprises. Good corporate governance structure plays a decisive role in making a company bigger and stronger, which has been recognized as a fact all over the world. Corporate governance has gone through the transformation from "shareholder standard" to "stakeholder" theory, which is different from the traditional governance mode of shareholder interest supremacy. The stakeholder governance model holds that enterprises should not only be responsible to shareholders, but also to shareholders. And to be responsible for the business with the economic interests of the stakeholders. In the stakeholder model, the important role of the enterprise staff is especially emphasized. In the practice of various countries, different patterns of employee participation have been formed due to different political systems and historical traditions. Representative are the former Yugoslavia model in which the workers' committee in fact plays the role of manager, the stakeholder model in which the manager controls the decision-making of the company and the European common decision model in which the staff and workers participate in the decision-making of the company with limited participation. The legislation of employee participation in our country has gone from the mode of master ownership of planned economy to the participation of workers in the company system of socialist market economy in the board of directors, and has gone through different modes. Up to now, different systems of participation still exist. This leads to the disordered and disunified characteristics of employee participation in the internal structure system of enterprises, so we must make a choice on the basis of the present situation, and find a mode or path of employee participation that conforms to the national conditions of our country and adapts to the characteristics of market economy. As a socialist country, our country has always attached importance to the protection of workers' rights. In the company legislation of the past, there are provisions on the participation of workers and staff, especially the introduction of the new Company Law in 2005, which has improved the relevant legislation on the system of employee participation. The legal protection of employee participation has been strengthened. However, there are still many problems in the legal system of employee participation in our country, such as the formalization of the staff Congress, the lack of independence of the trade union, and the unclear authority of the supervisor of the staff and workers. It is an effective method to perfect the employee participation system from the aspects of company system, corporate responsibility, enterprise ethics and so on. On the basis of the theory of corporate governance which agrees with the theory of stakeholders, this paper chooses the employee participation as a factor that affects corporate governance.
