【摘要】：公司分立作為公司組織體進(jìn)行更生再造的一項(xiàng)重要舉措,其分立方式與分立過(guò)程異常復(fù)雜和多樣,且分立效果對(duì)分立公司原債權(quán)人權(quán)益影響甚巨,故域外立法多對(duì)公司分立予以詳備規(guī)制,以求股東與債權(quán)人之間利益之平衡。我國(guó)新公司法雖然在舊法的基礎(chǔ)上對(duì)公司分立制度進(jìn)行了修改,但仍然過(guò)于疏漏,且不盡合理,對(duì)公司分立實(shí)務(wù)難以起到規(guī)范調(diào)整作用,也難以真正平衡股東和債權(quán)人之間的利益。新公司法于公司分立制度之建構(gòu)仍然任重道遠(yuǎn),函待日后進(jìn)一步修改、補(bǔ)充和完善。
[Abstract]:As an important measure for the rehabilitation and reengineering of the corporate organization, the method and process of the separation of companies are extremely complex and diverse, and the effect of the separation has a great impact on the rights and interests of the original creditors of the company. Therefore, foreign legislation regulates the separation of companies in detail in order to balance the interests of shareholders and creditors. Although the new company law of our country has modified the system of company separation on the basis of the old law, it is still too negligent and unreasonable, so it is difficult to regulate the practice of company separation. Nor is there a real balance between shareholders and creditors. The construction of the new company law in the system of company separation is still a long way to go, and will be further revised, supplemented and perfected in the future.
