職工董監(jiān)事制度法律問題探究

【摘要】:隨著現(xiàn)代企業(yè)制度的建立,公司法人治理結(jié)構(gòu)發(fā)生了改變,“股東利益至上”的思想開始被“利益兼顧型”代替,職工在企業(yè)中作為勞動力代表與股東所代表的資方代表之間的利益沖突在市場經(jīng)濟下被認(rèn)為是可以用制度來調(diào)和的。職工董監(jiān)事制度通過職工代表進入董事會、監(jiān)事會行使決策權(quán)利和監(jiān)督權(quán)利,確立了職工在公司法人治理結(jié)構(gòu)中的民主地位,它是中國特色現(xiàn)代化制度建設(shè)的重要內(nèi)容之一,也是我國職工參與公司治理的重要方式。 歐洲各國在二戰(zhàn)之后,逐步建立起了適合自己國家的企業(yè)發(fā)展的職工董監(jiān)事制度,其中比較有代表性的是英國早期的職工董監(jiān)事制度、德國的職工共同決策機制和日本的勞資協(xié)商制。在比較分析了西方的職工董監(jiān)事制度之后,我國的職工董監(jiān)事制度的確可以揚長避短的吸取很多經(jīng)驗,但是我國經(jīng)濟環(huán)境和企業(yè)的法人治理結(jié)構(gòu)有著我們國家自己的特點,全盤模仿西方的模式肯定會水土不服。 目前,我國的職工董監(jiān)事制度在建設(shè)中存在著許多不足,如立法上的不完善、運行機制上的不健全、監(jiān)督力度不夠等等,使得很多企業(yè)沒有推行職工董監(jiān)事制度,有的企業(yè)即使有職工董事和職工監(jiān)事,但也是流于形式。因此在當(dāng)前和今后的職工董監(jiān)事制度的建設(shè)和發(fā)展過程中,我們首先要加強職工董監(jiān)事制度的教育和普及工作;其次在立法上,豐富公司法對職工董監(jiān)事制度的相關(guān)規(guī)定,在可能的情況下,單獨出臺職工董監(jiān)事制度的行政法規(guī);再次加強職工董監(jiān)事制度的配套機制建設(shè),如職工董事、監(jiān)事例會制度、質(zhì)詢機制、運行機制等等;最后加強職工董事、監(jiān)事的監(jiān)督,使得職工董事、監(jiān)事能夠真正代表職工利益,維護職工權(quán)益。
[Abstract]:With the establishment of modern enterprise system, the corporate governance structure has changed. In the market economy, the conflict of interest between the employee as the labor force representative and the management representative represented by the shareholders is considered to be reconciled with the system. The staff and workers' director system enters the board of directors through the staff and workers' representatives, and the supervisory committee exercises the right of decision-making and supervision, and establishes the democratic position of the workers and staff in the corporate governance structure of the company, which is one of the important contents of the modernization system construction with Chinese characteristics. Also is our country worker participates in the important way of corporate governance. After the second World War, European countries gradually established a system of directors and supervisors for their own country's enterprises, among which the one most representative of them was the system of directors of staff and workers in the early days of the United Kingdom. The common decision-making mechanism of workers in Germany and the labor-capital consultation system in Japan. After a comparative analysis of the western staff and directors' system, the staff and workers' supervisory system in our country can indeed draw on many experiences by exploiting its strengths and circumventing its weaknesses. However, our economic environment and corporate governance structure of enterprises have our own national characteristics. Imitating the Western model in its entirety is bound to be unpalatable. At present, there are many deficiencies in the construction of the staff and directors system in our country, such as imperfect legislation, imperfect operation mechanism, insufficient supervision, etc., which make many enterprises fail to implement the staff board supervision system. Some enterprises even if there are staff directors and staff supervisors, but also a mere formality. Therefore, in the current and future construction and development of the staff and directors' supervisory system, we should first strengthen the education and popularization of the staff and directors' system; secondly, in legislation, we should enrich the relevant provisions of the company law on the employees' board supervisors' system. When possible, the administrative rules and regulations of the staff and supervisors system should be issued separately, and the supporting mechanism of the staff and supervisors system should be strengthened again, such as the staff directors, the supervisors' regular meeting system, the inquiry mechanism, the operation mechanism, and so on. Finally, strengthen the supervision of staff directors and supervisors, so that staff directors and supervisors can truly represent the interests of staff and workers and safeguard their rights and interests.
