【摘要】：德國公司法上的替代自有資本股東借貸制度,對防止股東逃避籌資義務(wù),堅持資本維持原則,保護(hù)債權(quán)人利益和維護(hù)交易安全具有重要作用。我國目前公司關(guān)聯(lián)交易中存在大量的替代自有資本的股東借貸,而我國公司法還沒有相關(guān)制度可以對其進(jìn)行有效規(guī)范,因此,十分有必要對德國相關(guān)制度進(jìn)行研究和借鑒。
[Abstract]:The substitution of the system of borrowing and borrowing by shareholders with capital in Germany plays an important role in preventing shareholders from evading their financing obligations, upholding the principle of capital maintenance, protecting the interests of creditors and maintaining the security of transactions.At present, there are a large number of shareholder loans to replace the own capital in the related transactions of companies in our country, but there is no relevant system to regulate them effectively in our company law. Therefore, it is necessary to study and learn from the relevant systems in Germany.
