【摘要】： 公司清算制度作為公司法人格存續(xù)的最后階段,對(duì)于能否有效保護(hù)股東、債權(quán)人及利益相關(guān)人的權(quán)益,能否使公司順利退出市場(chǎng),維護(hù)市場(chǎng)經(jīng)濟(jì)秩序的流暢都有著十分重要的意義。但我國(guó)清算法律制度既無(wú)完備立法,亦無(wú)成熟的理論規(guī)范,學(xué)理和立法上都遠(yuǎn)未達(dá)到可以引導(dǎo)公司進(jìn)行非破產(chǎn)程序,順利退出市場(chǎng)的程度,本文試以司法實(shí)踐中遇到的分歧為切入點(diǎn),對(duì)于存在的公司清算主體制度殘缺不全;重要制度(清算人規(guī)則、清算登記制度、清算法律責(zé)任等制度)缺失;清算監(jiān)督機(jī)制不盡完善(或稱清算監(jiān)督機(jī)制缺失);對(duì)公司清算種類的劃分和以該劃分為標(biāo)準(zhǔn)設(shè)計(jì)的公司清算程序無(wú)法完全達(dá)到有效的保護(hù)利益相關(guān)人利益、實(shí)現(xiàn)清算效應(yīng)最大化的目標(biāo);法律規(guī)范多為原則性規(guī)定,操作性較差等問題,從理論的角度進(jìn)行詳盡分析,并舉例說明使其更加具體、更具可操作性,以期對(duì)于查辦此類案件提供借鑒。
[Abstract]:As the last stage of company law personality, the liquidation system can effectively protect the rights and interests of shareholders, creditors and stakeholders, and make the company withdraw from the market smoothly.Maintain the smooth flow of market economy order has very important meaning.However, the liquidation legal system of our country has neither complete legislation nor mature theoretical norms. It is far from being able to guide the company to carry out the non-bankruptcy procedure and withdraw from the market smoothly.This paper tries to take the differences encountered in judicial practice as the starting point, for the existing corporate liquidation system is incomplete, the important system (liquidator rules, liquidation registration system, liquidation legal liability system, etc.) is missing.The liquidation supervision mechanism is not perfect (or lack of liquidation supervision mechanism), the division of the company liquidation type and the company liquidation procedure designed according to this standard can not completely achieve the effective protection of the interests of the stakeholders.To achieve the goal of maximizing liquidation effect, the legal norms are mostly principled provisions, poor maneuverability and so on. It is analyzed in detail from a theoretical point of view, and examples are given to illustrate how to make them more specific and operable.With a view to investigating such cases to provide reference.
