【摘要】：實質(zhì)合并是關(guān)聯(lián)企業(yè)破產(chǎn)中的一項重要制度,其理論基礎(chǔ)與公司法上的人格否認(刺破面紗)既有關(guān)聯(lián)又有區(qū)分。在美國的判例法體系中,實質(zhì)合并規(guī)則經(jīng)歷了萌芽和誕生、適用范圍擴張到適用標準趨嚴的過程,人格混同雖然仍是主要的判斷標準,但同時延伸到資產(chǎn)和負債分離的難度、債權(quán)人對債務人單一性或整體性人格的信賴等輔助性判斷標準。我國關(guān)聯(lián)企業(yè)破產(chǎn)中對實質(zhì)合并有著較強的現(xiàn)實需求,但立法和司法解釋尚未確立實質(zhì)合并規(guī)則,實踐中面臨實質(zhì)合并理論基礎(chǔ)何在、實質(zhì)合并動議由誰提起、法院根據(jù)何種標準判斷、債權(quán)人的異議權(quán)如何得到保障等諸多問題,迫切需要在總結(jié)實踐案例和借鑒域外經(jīng)驗的基礎(chǔ)上構(gòu)建符合我國國情的實質(zhì)合并破產(chǎn)制度。
[Abstract]:Substantive merger is an important institution in the bankruptcy of affiliated enterprises. Its theoretical basis is related to and distinguishes from the denial of personality (piercing veil) in company law.In the case law system of the United States, the rule of substantive merger has gone through the process of germination and birth, and the scope of application has expanded to the process of tightening the applicable standards. Although personality confusion is still the main criterion of judgment, it extends to the difficulty of separating assets and liabilities at the same time.The creditor's reliance on the debtor's singularity or integrity is an auxiliary criterion.There is a strong practical demand for substantive merger in the bankruptcy of affiliated enterprises in China, but the legislative and judicial explanations have not yet established the substantive merger rules. In practice, there is no theoretical basis for substantive merger, and who brings the substantive merger motion.According to what standard the court judges and how the creditor's right of dissent is protected, it is urgent to construct a substantial merger bankruptcy system in accordance with the national conditions of our country on the basis of summing up practical cases and drawing lessons from overseas experience.
