【摘要】：有限責(zé)任公司的股權(quán)繼承制度紛繁復(fù)雜，我國《公司法》雖然作了較為原則性的規(guī)定，但從實(shí)踐角度來看，有些方面還值得細(xì)化和完善。本文首先以筆者曾經(jīng)承辦過的一個股權(quán)繼承案件引出所要探討的問題；而后筆者分析有限責(zé)任公司股權(quán)繼承的基本理論，認(rèn)為股權(quán)是一種獨(dú)立權(quán)利，并分析股權(quán)作為繼承法律關(guān)系客體具有可行性和特殊性；在此基礎(chǔ)上，筆者從大陸法系和英美法系兩個方面簡要分析了國外對此問題的規(guī)定及可借鑒之處；之后分析我國關(guān)于有限責(zé)任公司股權(quán)繼承制度的規(guī)定及其利弊分析，并從股東資格稱述的問題、繼承人繼承股東資格取得程序中的問題、從股東死亡至股權(quán)繼承處理結(jié)束期間股東權(quán)利有誰行使的問題以及繼承人放棄繼承股權(quán)的問題等四個方面分析了立法的不足之處，并相對應(yīng)的從這四個方面提出了初步的改善意見；最后筆者針對有限責(zé)任公司股權(quán)繼承中瑕疵出資股東、隱名股東等幾種特殊主體問題的處理進(jìn)行初步探討，以期能對我國有限責(zé)任公司股權(quán)繼承制度進(jìn)行有益的探索。
[Abstract]:The stock right inheritance system of limited liability company is complicated and complicated. Although the Company Law of our country has made more principled provisions, some aspects are worth refining and perfecting from the point of view of practice.In this paper, the author of a case of equity succession has been undertaken to lead to the issue; then the author analyzes the basic theory of equity succession of limited liability companies, that equity is an independent right,On the basis of the analysis of the feasibility and particularity of equity as the object of inheritance legal relationship, the author briefly analyzes the provisions and references of foreign countries from the two aspects of civil law system and Anglo-American law system.After that, it analyzes the provisions of the stock right succession system of limited liability company and its advantages and disadvantages, and discusses the problems in the procedure of obtaining the qualification of the successor from the shareholders' qualification.From the death of shareholders to the end of the handling of equity succession, this paper analyzes the shortcomings of the legislation from four aspects: who exercised the shareholder's rights and the heirs gave up the inherited shares.Finally, the author makes a preliminary discussion on the handling of several special subject problems, such as defective shareholders and hidden shareholders in the stock right inheritance of limited liability companies, and puts forward some preliminary suggestions for improvement from these four aspects.With a view to our limited liability company equity inheritance system beneficial exploration.
