【摘要】：公司債權(quán)人的保護(hù)問(wèn)題是公司法的一個(gè)重要的研究領(lǐng)域,隨著公司法理論與公司法實(shí)踐研究的不斷深入,人們對(duì)債權(quán)人與股東、公司管理者等公司參與人之間的利益沖突與平衡關(guān)系有了更加深入的認(rèn)識(shí),對(duì)于公司債權(quán)人的利益保護(hù)確立了許多新的制度,如對(duì)于濫用股東權(quán)利的股東,債權(quán)人可以提出股東有限責(zé)任的例外適用,追究股東的責(zé)任。有限責(zé)任公司隱名出資在實(shí)踐中引發(fā)了很多糾紛。我們應(yīng)該怎樣認(rèn)定隱名出資,如何厘清隱名出資的內(nèi)外法律關(guān)系,是一個(gè)值得思考的問(wèn)題。關(guān)于隱名出資的司法解釋剛剛出臺(tái),本文在隱名出資基本理論研究的基礎(chǔ)上,通過(guò)對(duì)隱名出資情況下債權(quán)人保護(hù)的理論與立法現(xiàn)狀進(jìn)行評(píng)析,并對(duì)債權(quán)人保護(hù)的問(wèn)題進(jìn)行探討。 本文共分為四個(gè)部分。第一部分是關(guān)于隱名出資與債權(quán)人保護(hù)的概述。論述了本文的隱名出資的概念,闡述了其法律特征,分析隱名出資的成因,并且根據(jù)不同的原因?qū)㈦[名出資劃分為不同的類(lèi)型。然后闡釋了隱名出資與債權(quán)人保護(hù)之間的聯(lián)系,著重分析的是隱名出資可能對(duì)債權(quán)人利益產(chǎn)生的不利影響。 第二部分是關(guān)于隱名出資法律關(guān)系的分析,本文將隱名出資的法律關(guān)系分為內(nèi)部法律關(guān)系與外部法律關(guān)系,并對(duì)其學(xué)說(shuō)進(jìn)行介紹與評(píng)析,提出對(duì)內(nèi)部法律關(guān)系應(yīng)當(dāng)采用信托說(shuō)。通過(guò)對(duì)外部法律關(guān)系的分析,認(rèn)為隱名出資人有對(duì)公司債權(quán)人承擔(dān)無(wú)限責(zé)任的連帶責(zé)任的可能性。 第三部分是關(guān)于隱名出資情況下債權(quán)人保護(hù)的立法現(xiàn)狀的論述,并對(duì)相關(guān)內(nèi)容進(jìn)行評(píng)析。這部分提出了新的司法解釋對(duì)于公司債權(quán)人保護(hù)的不足之處,主要在于對(duì)隱名出資人是否承擔(dān)無(wú)限責(zé)任連帶責(zé)任的規(guī)定不夠明晰。 第四部分是對(duì)債權(quán)人保護(hù)機(jī)制的補(bǔ)充與完善。我國(guó)應(yīng)當(dāng)在公司法中完善關(guān)于隱名出資情況下對(duì)債權(quán)人的保護(hù)問(wèn)題,以彌補(bǔ)這方面的法律空白。具體的措施是在嚴(yán)格的條件限制下適用公司法人格否認(rèn)制度來(lái)維護(hù)公司債權(quán)人的利益,對(duì)隱藏在公司和顯名股東之后的侵害債權(quán)人利益的隱名出資人進(jìn)行直索。另外,還必須注意對(duì)我國(guó)的司法解釋的補(bǔ)充,對(duì)未盡的規(guī)定繼續(xù)進(jìn)行探索,并論證其可行性,為充分保障債權(quán)人利益,平衡股東與債權(quán)人利益作出不懈努力。
[Abstract]:The protection of corporate creditors is an important research field in the company law. With the deepening of the theory and practice of company law, people pay more attention to creditors and shareholders. There is a deeper understanding of the conflict of interest and balance between company participants, such as corporate managers, and many new systems have been established for the protection of the interests of corporate creditors, such as shareholders who abuse their shareholders' rights. Creditors can make exceptions to shareholders' limited liability and investigate shareholders' liability. Anonymous contributions of limited liability companies have caused a lot of disputes in practice. How should we identify anonymous contributions? It is worth thinking about how to clarify the internal and external legal relationship of anonymous capital contribution. This paper analyzes the theory and legislation of creditor's protection under the condition of anonymous capital contribution, and probes into the problem of creditor's protection. This paper is divided into four parts. The first part is an overview of anonymous capital contribution and creditor protection. It discusses the concept of anonymous capital contribution, expounds its legal characteristics, and analyzes the causes of anonymous capital contribution. And according to the different reasons will be classified into different types of anonymous capital contribution, and then explained the relationship between anonymous capital contribution and creditor protection, focusing on the hidden capital contribution may have a negative impact on the interests of creditors. The second part is about the analysis of the legal relationship of anonymous capital contribution, this paper divides the legal relationship of anonymous capital contribution into internal legal relationship and external legal relationship, and introduces and comments on its theory. Through the analysis of the external legal relationship, the author thinks that the anonymous investor has the possibility of joint and several liability to the creditors of the company. The third part is about the legislation status quo of creditor protection under the condition of anonymous capital contribution, and analyzes the relevant contents. This part puts forward the deficiencies of the new judicial explanation for the protection of the creditors of the company. The main reason is that it is not clear whether the anonymous investor assumes unlimited liability joint and several liability. The fourth part is the supplement and perfection of creditor protection mechanism. In order to fill up the legal gaps in this respect. The specific measures are to apply the system of denial of corporate personality under strict conditions to protect the interests of the creditors of the company. In addition, we must pay attention to the supplement to the judicial interpretation of our country, continue to explore the outstanding provisions, and demonstrate its feasibility. In order to fully protect the interests of creditors, balance the interests of shareholders and creditors to make unremitting efforts.
