【摘要】：《公司法》中的監(jiān)事會與《監(jiān)管條例》中的監(jiān)事會是既有區(qū)別，又有聯(lián)系的�！侗O(jiān)管條例》中的監(jiān)事會是加強(qiáng)國家監(jiān)督、保障所有者權(quán)益、防止國有資產(chǎn)流失的重要組織形式，它是企業(yè)之外的監(jiān)督組織。而《公司法》中的監(jiān)事會則是企業(yè)層次的監(jiān)督組織，是公司的內(nèi)設(shè)機(jī)構(gòu)。盡管，兩個監(jiān)事會有許多不同之處，但它們之間還是存在一定相通之處的。它們都是為了財(cái)產(chǎn)所有者利益，對財(cái)產(chǎn)所有者負(fù)責(zé)而設(shè)置的監(jiān)督機(jī)構(gòu)，用來監(jiān)督財(cái)產(chǎn)經(jīng)營管理者和決策者的行為，但不直接參與經(jīng)營決策，監(jiān)督的重點(diǎn)是公司（企業(yè)）的財(cái)務(wù)和會計(jì)活動。從某種意義上來講，，兩個監(jiān)事會是一致的。
[Abstract]:The board of supervisors in the Company Law is different from the board of supervisors in the regulations on Supervision and Regulation. The board of supervisors in the regulations is an important organizational form for strengthening state supervision, protecting the rights and interests of the owners, and preventing the loss of state-owned assets. The board of supervisors in the Company Law is the supervisory organization at the enterprise level and the internal organization of the company. Although there are many differences between the two boards of supervisors, But there is something in common between them. They are supervisory bodies set up for the benefit of property owners, responsible to property owners, to monitor the behavior of property managers and decision makers, But not directly participate in the business decisions, the focus of supervision is the financial and accounting activities of the company (enterprise). In a sense, the two supervisory boards are the same.
