【摘要】： 隨著我國公司體制的改革,公司僵局問題不斷涌現(xiàn),成為時下我國公司法律實務(wù)中最具代表性的問題之一。公司僵局主要表現(xiàn)為公司決策癱瘓、經(jīng)營停滯、股東之間的人合基礎(chǔ)喪失、公司資產(chǎn)流失、損失日漸擴大,其危害后果涉及到公司、股東、利益相關(guān)人乃至整個社會的經(jīng)濟秩序穩(wěn)定,可見其波及面之廣,危害程度之深。因此,公司僵局問題成為我國經(jīng)濟發(fā)展的又一絆腳石,亟需提高警惕。2005年我國《公司法》修訂,乃至相關(guān)司法解釋的出臺,都涉及到公司僵局的救濟問題,不難看出,經(jīng)過多年以來的不懈努力,我國公司僵局的救濟路徑已經(jīng)開始構(gòu)建。然而,在應(yīng)對新形勢下的多種挑戰(zhàn)時,我國公司僵局救濟路徑也暴露出一些不足。因此,本文在研究國內(nèi)外關(guān)于公司僵局救濟理論的基礎(chǔ)上,結(jié)合近幾年我國對僵局的處理狀況,進一步分析我國關(guān)于此方面立法上和實務(wù)中的現(xiàn)狀,指出我國公司僵局救濟路徑中亟待改進和完善的地方,以期從立法上的理論完善到實務(wù)中的救濟路徑豐富兩個方面出發(fā)構(gòu)建我國多元化的公司僵局救濟路徑。
[Abstract]:With the reform of the corporate system in our country, the problem of corporate deadlock emerges constantly, and it has become one of the most representative problems in the practice of corporate law in our country. The corporate deadlock is mainly manifested in the paralysis of corporate decision-making and the stagnation of management. The loss of the joint foundation among shareholders, the loss of company assets and the increasing loss, the harmful consequences of which are related to the stability of the economic order of the company, shareholders, stakeholders and even the whole society, so it can be seen that it has a wide spread. Therefore, the problem of corporate deadlock has become another stumbling block to the economic development of our country, and it is urgent to raise vigilance. In 2005, the revision of the Company Law of our country, and even the introduction of related judicial interpretations, all involve the relief of the corporate deadlock. It is not difficult to see that after years of unremitting efforts, the relief path of corporate deadlock in our country has begun to build. However, in dealing with various challenges under the new situation, the relief path of corporate deadlock in our country has also exposed some shortcomings. On the basis of studying the theory of corporate deadlock relief at home and abroad and combining with the situation of dealing with deadlock in China in recent years, this paper further analyzes the present situation of legislation and practice in this area in our country. This paper points out that there is an urgent need for improvement and perfection in the relief path of corporate deadlock in our country, in order to construct the diversified relief path of corporate deadlock in our country from two aspects: the theoretical perfection of legislation to the enrichment of relief path in practice.
