【摘要】：2013年《公司法》修正,使我國(guó)的公司資本制度發(fā)生較大變化。關(guān)于公司資本制度變革與發(fā)展趨勢(shì)的再研究,對(duì)于現(xiàn)階段理論學(xué)習(xí)與實(shí)踐應(yīng)用都具有一定的現(xiàn)實(shí)意義。本文運(yùn)用比較分析法和價(jià)值分析法,立足公司資本制度的基本理論,簡(jiǎn)要闡述我國(guó)公司資本制度的發(fā)展歷史和成就。從包容性經(jīng)濟(jì)體制建設(shè)、公司自治、行政權(quán)從部分市場(chǎng)領(lǐng)域退出、創(chuàng)新公司監(jiān)管方式和公民創(chuàng)業(yè)機(jī)會(huì)平等五個(gè)方面,具體闡述2013年我國(guó)公司資本形成制度修改的背景和原因。對(duì)于新《公司法》的修改內(nèi)容,重點(diǎn)闡述和分析了廢除最低注冊(cè)資本、認(rèn)繳制度確立、貨幣出資比例限制的廢除、取消驗(yàn)資程序和簡(jiǎn)化登記事項(xiàng)等五個(gè)中心內(nèi)容。在分析修改內(nèi)容的基礎(chǔ)之上,依據(jù)公司資本制度的理論,定位修改后的公司資本制度,依然為法定資本制度,并分析了資本制度修改的重大意義和可能衍生的問(wèn)題,展望我國(guó)未來(lái)公司資本制度的改革趨勢(shì),構(gòu)想我國(guó)未來(lái)公司資本制度。
[Abstract]:In 2013, the amendment of Company Law made great changes to the corporate capital system in China. This paper uses comparative analysis and value analysis to base on the basic theory of corporate capital system. This paper briefly describes the development history and achievements of the corporate capital system in China. It includes five aspects: the construction of inclusive economic system, the autonomy of the company, the withdrawal of the executive power from some market areas, the innovation of the way of corporate supervision and the equality of opportunities for citizens to start a business. In 2013, the background and reasons of the revision of the company capital formation system in China are expounded. For the revision content of the new Company Law, the emphasis is put on the abolition of the minimum registered capital, the establishment of the subscription system, and the abolition of the restriction on the proportion of monetary contributions. On the basis of analyzing the modified contents and according to the theory of the company's capital system, the modified company's capital system is still legal capital system. It also analyzes the great significance and possible problems of capital system modification, looks forward to the reform trend of our country's future company capital system, and conceive the future company capital system of our country.
