論職業(yè)經(jīng)理人的法律地位

【摘要】:在現(xiàn)代公司治理理論的發(fā)展過(guò)程中,公司的權(quán)力中心隨著社會(huì)、經(jīng)濟(jì)的不斷發(fā)展,,從股東會(huì)到董事會(huì)在逐漸演變,F(xiàn)在,還處在董事會(huì)中心主義階段。然而隨著職業(yè)經(jīng)理人階層的出現(xiàn)和不斷壯大,職業(yè)經(jīng)理人在公司中扮演的角色也愈發(fā)重要,在公司中擁有的權(quán)利也日益膨脹,公司的權(quán)力中心已有逐漸向經(jīng)理中心主義發(fā)展的趨勢(shì)。職業(yè)經(jīng)理人已不是傳統(tǒng)公司理論上董事會(huì)的附屬,唯董事會(huì)之命是從。在公司實(shí)務(wù)中,職業(yè)經(jīng)理人頻繁“跳槽”以及職業(yè)經(jīng)理人違反經(jīng)理的相關(guān)義務(wù),利用其日益膨脹的經(jīng)理權(quán),為了自身的利益損害公司、股東及其他相關(guān)人利益的事件頻發(fā)。究其原因,一方面是由于職業(yè)經(jīng)理人階層在我國(guó)產(chǎn)生的時(shí)間很短,職業(yè)經(jīng)理人市場(chǎng)尚且不成熟,且沒(méi)有形成職業(yè)經(jīng)理人市場(chǎng)的自我調(diào)節(jié)機(jī)制和職業(yè)規(guī)則;另一方面也顯示了我國(guó)職業(yè)經(jīng)理人相關(guān)立法的缺失,現(xiàn)存的一部分法律已不能適應(yīng)經(jīng)濟(jì)社會(huì)的發(fā)展,職業(yè)經(jīng)理人法律地位不明確,權(quán)利義務(wù)界定模糊,激勵(lì)與監(jiān)督機(jī)制沒(méi)有發(fā)揮效用等突出問(wèn)題。因此,明確職業(yè)經(jīng)理人的法律地位,科學(xué)合理地配置職業(yè)經(jīng)理人的權(quán)利與義務(wù),建立健全職業(yè)經(jīng)理人的激勵(lì)與監(jiān)督機(jī)制必將成為今后公司理論研究領(lǐng)域的新課題。 本文除結(jié)語(yǔ)外分為四個(gè)部分。以國(guó)美控制權(quán)之爭(zhēng)案作為啟發(fā)筆者寫(xiě)作的源泉,透過(guò)國(guó)美之爭(zhēng)案引出一些列關(guān)于職業(yè)經(jīng)理人法律地位的思考,分析了國(guó)內(nèi)、外關(guān)于職業(yè)經(jīng)理人法律地位的理論與立法,就我國(guó)職業(yè)經(jīng)理人法律地位存在的缺陷,提出了自己的淺見(jiàn),以期為職業(yè)經(jīng)理人法律地位研究這一課題做出小的貢獻(xiàn)。 第一部分是研究背景—國(guó)美之爭(zhēng)案引發(fā)的法律思考。該部分作為啟發(fā)筆者寫(xiě)作的源泉,由國(guó)美之爭(zhēng)案提出了過(guò)于職業(yè)經(jīng)理人法律地位的相關(guān)法律思考,并提出職業(yè)經(jīng)理人問(wèn)題產(chǎn)生的根源及出路在于明確職業(yè)經(jīng)理人的法律地位。 第二部分是對(duì)職業(yè)經(jīng)理人的概述。首先,通過(guò)對(duì)國(guó)內(nèi)外關(guān)于經(jīng)理、職業(yè)經(jīng)理人概念的立法及理論的研究,結(jié)合我國(guó)公司法實(shí)務(wù),對(duì)經(jīng)理、職業(yè)經(jīng)理人的概念了作了界定;其次,是論述了職業(yè)經(jīng)理人與經(jīng)理的關(guān)系,提出職業(yè)經(jīng)理人是經(jīng)理的特殊類(lèi)型的觀(guān)點(diǎn);第三,是對(duì)職業(yè)經(jīng)理人法律地位的概念作了界定。該部分解決了本文研究的基礎(chǔ)性概念問(wèn)題。 第三部分是對(duì)職業(yè)經(jīng)理人法律地位的現(xiàn)狀的研究。要對(duì)職業(yè)經(jīng)理人的法律地位進(jìn)行研究,就要對(duì)職業(yè)經(jīng)理人的權(quán)利與義務(wù)以及與其所處的法律關(guān)系出發(fā)去研究。本部分考察了國(guó)內(nèi)外關(guān)于多元關(guān)系下職業(yè)經(jīng)理人的法律地位、權(quán)利與義務(wù)等問(wèn)題,為研究我國(guó)職業(yè)經(jīng)理人法律地位做鋪墊。 第四部分是我國(guó)職業(yè)經(jīng)理人法律地位的完善,也是本文的重點(diǎn)。分為兩個(gè)大的方面.一方面對(duì)我國(guó)職業(yè)經(jīng)理人法律地位相關(guān)立法規(guī)定存在的不足進(jìn)行了研究;另一方面針對(duì)我國(guó)職業(yè)經(jīng)理人法律地位存在的不足,從職業(yè)經(jīng)理人所處法律關(guān)系、享有權(quán)利與承擔(dān)義務(wù)、激勵(lì)與監(jiān)督機(jī)制等方面提出了相關(guān)的完善建議。
[Abstract]:In the course of the development of modern corporate governance theory , the company ' s power center has gradually evolved from the shareholders ' meeting to the board of directors with the development of society and economy . This paper divides the conclusion into four parts . As a source of the author ' s writing , the author analyzes the theory and legislation of the legal status of professional managers through the dispute case of the state and the United States , analyzes the theory and legislation of the legal status of the professional managers , and puts forward their own views on the defects of the legal status of the professional managers in China , and makes a small contribution to the research of the legal status of professional managers . The first part is the research background - the legal thought caused by the dispute case of the national beauty . The part is the source of the author ' s writing . The author puts forward the relevant legal thought about the legal status of the professional manager from the dispute case of the state and the United States , and puts forward the causes and the way out of the problem of the professional manager in defining the legal status of the professional manager . The second part is an overview of the professional managers . First , by studying the legislation and theories about managers and professional managers at home and abroad , this paper defines the concept of managers and professional managers in combination with the practice of corporate law in China . Secondly , it discusses the relationship between professional managers and managers , and puts forward that professional managers are the special types of managers . Thirdly , the concept of professional managers ' legal status is defined . The third part is to study the status quo of the legal status of professional managers . To study the legal status of professional managers , we should study the legal status , rights and obligations of professional managers at home and abroad . The fourth part is the perfection of the legal status of the professional managers in our country , and it is the focus of this paper . On the one hand , the deficiency of the legal status of the professional managers in our country is studied . On the other hand , some suggestions are put forward in terms of the legal status of the professional managers in our country , the legal relationship between the professional managers , the rights and obligations , the incentive and supervision mechanism , etc .
