【摘要】：公司控制權(quán)市場是借助市場機(jī)制,通過轉(zhuǎn)移公司控制權(quán)以達(dá)到制約公司經(jīng)營者,從而有效保障股東利益的一系列制度安排。在公司控制權(quán)市場機(jī)制運(yùn)用最為成熟的西方發(fā)達(dá)國家,其主流理論都立基于一個(gè)基本的前提,即實(shí)現(xiàn)股東利益最大化。然而,伴隨著公司法反主流的理論變革與制度實(shí)施,這一蘊(yùn)含在公司控制權(quán)市場機(jī)制中的基本前提正受到質(zhì)疑乃至巨大的沖擊,公司控制權(quán)市場的主流理論亟待作出重新評介并進(jìn)行重構(gòu)。
[Abstract]:With the help of market mechanism, the market of corporate control is used to restrict the managers of the company by transferring the control of the company. In the western developed countries where the market mechanism of corporate control is most mature, the mainstream theory is based on a basic premise, that is, to maximize the interests of shareholders. With the theoretical reform and system implementation of the anti-mainstream company law, the basic premise contained in the market mechanism of corporate control is being questioned and even greatly impacted. The mainstream theory of corporate control market needs to be reintroduced and reconstructed.
