【摘要】： 土地承包經(jīng)營(yíng)權(quán)入股是指在家庭聯(lián)產(chǎn)承包責(zé)任制的基礎(chǔ)上,土地承包經(jīng)營(yíng)權(quán)人將其享有的土地承包經(jīng)營(yíng)權(quán)作為出資,折價(jià)入股企業(yè)并取得企業(yè)股權(quán)的制度。其中,土地承包經(jīng)營(yíng)權(quán)入股有限責(zé)任公司是近年來新興的一種土地流轉(zhuǎn)方式。對(duì)土地承包經(jīng)營(yíng)權(quán)入股進(jìn)行有效規(guī)制,提高農(nóng)地利用效率,增加農(nóng)民收入,是學(xué)界和立法者都在積極思考和探討的問題。當(dāng)務(wù)之急是我們應(yīng)該考慮如何建立和完善土地入股的相關(guān)制度,使土地承包經(jīng)營(yíng)權(quán)與現(xiàn)代公司企業(yè)制度實(shí)現(xiàn)完美結(jié)合,充分提高土地的利用效率。 本文選取土地承包經(jīng)營(yíng)權(quán)入股有限責(zé)任公司為研究對(duì)象,系統(tǒng)的分析了土地承包經(jīng)營(yíng)權(quán)流轉(zhuǎn)制度和在我國(guó)的流轉(zhuǎn)現(xiàn)狀,認(rèn)為土地承包經(jīng)營(yíng)權(quán)流轉(zhuǎn)制度建立以來,雖對(duì)我國(guó)的農(nóng)場(chǎng)經(jīng)濟(jì)發(fā)展起到了積極促進(jìn)作用,但改革潛力還很大,有必要拓寬流轉(zhuǎn)方式,特別是開辟投資入股有限責(zé)任公司的道路。進(jìn)而對(duì)土地承包經(jīng)營(yíng)權(quán)投資有限責(zé)任公司的必要性和可行性進(jìn)行分析,在此基礎(chǔ)上提出了制定《農(nóng)業(yè)公司法》及完善相關(guān)制度的建議。 本文共分三大部分: 第一部分:闡述土地承包經(jīng)營(yíng)權(quán)及土地承包經(jīng)營(yíng)權(quán)流轉(zhuǎn)制度在我國(guó)確立和發(fā)展的歷史進(jìn)程,以及土地承包經(jīng)營(yíng)權(quán)流轉(zhuǎn)的現(xiàn)狀和存在的問題。 第二部分:闡釋了土地承包經(jīng)營(yíng)權(quán)入股的基本內(nèi)容,提出了入股有限責(zé)任公司的法律障礙。 第三部分:分析土地承包經(jīng)營(yíng)權(quán)入股的必要性和可行性。 第四部分:從農(nóng)業(yè)公司法律制度構(gòu)建和相關(guān)配套制度完善兩方面分別提出建立完善土地承包經(jīng)營(yíng)權(quán)入股的幾點(diǎn)建議。 本文不再如以往學(xué)者在土地所有制度上作根本性變革,也不再原有流轉(zhuǎn)制度上做細(xì)枝末節(jié)的修補(bǔ),而是充分考慮到土地承包經(jīng)營(yíng)權(quán)入股的特殊性,在修改我國(guó)現(xiàn)有相關(guān)法律制度的基礎(chǔ)上,對(duì)規(guī)范農(nóng)業(yè)公司提出特別立法建議。
[Abstract]:The right of land contract management is a system in which, on the basis of the household contract responsibility system, the owner of the land contract management right takes the land contractual management right as its capital contribution, invests in the enterprise at a discount price and acquires the shares of the enterprise. In recent years, the land contract management right shares limited liability company is a new kind of land circulation way. It effectively regulates the land contract management right to buy shares, improves the farmland utilization efficiency, increases the farmer's income. It is a problem that the academic circles and legislators are actively thinking about and discussing. The urgent task is that we should consider how to establish and perfect the relevant system of land equity, so that the land contractual management right can be perfectly combined with the modern company enterprise system. Fully improve the efficiency of land use. This article selects the land contract management right to take the stock limited liability company as the research object, systematically analyzes the land contract management right circulation system and the circulation present situation in our country, thinks that the land contract management right circulation system has been established since the establishment, Although it has played a positive role in promoting the development of farm economy in our country, but the reform potential is still very great, it is necessary to broaden the circulation mode. In particular, we should open up a road for investing in a limited liability company, and then analyze the necessity and feasibility of investing in a limited liability company under the right of land contracting and management. On the basis of this, the author puts forward some suggestions on establishing Agricultural Company Law and perfecting the relevant system. This paper is divided into three parts:. The first part describes the historical process of the establishment and development of the land contractual management right and the transfer system of the land contractual management right in China, as well as the present situation and existing problems of the land contractual management right transfer. The second part: explain the basic content of the land contract management right and put forward the legal obstacle of the limited liability company. The third part: analyze the necessity and feasibility of land contract management right. Part 4th: from the two aspects of the construction of legal system of agricultural company and the improvement of related supporting system, the author puts forward several suggestions on how to establish and perfect the right of land contract management to invest in shares. This article is no longer like previous scholars in the land ownership system to make fundamental changes, nor the original circulation system to do details of the repair, but full consideration of the land contractual management right to share the particularity, On the basis of modifying the existing relevant legal system of our country, this paper puts forward special legislative suggestions on standardizing agricultural companies.
