【摘要】：隨著社會(huì)生產(chǎn)生活的發(fā)展,各種類型的公司僵局越來越常見,公司僵局不僅對公司及其投資人的利益造成重大損害,而且還將給公司外部的諸多利益相關(guān)者帶來不利影響,影響到整個(gè)市場交易的正常安全運(yùn)行。在法律層面上尋找化解公司僵局的有效措施成為當(dāng)務(wù)之要。在西方一些立法發(fā)達(dá)國家,經(jīng)過多年的公司法律實(shí)踐,已摸索出化解公司僵局的多樣化救濟(jì)措施,而且形成成熟的理論基礎(chǔ)。我國在公司法修訂前,并未在法律層面上對公司僵局的定義及其救濟(jì)措施做出規(guī)定;2005年公司法進(jìn)行大幅度修訂,終于有了一定的立法突破,但存在救濟(jì)途徑單一、措施有限、成本過高、實(shí)用性差的不足,不能完全解決實(shí)踐中遇到的諸多問題。本文在結(jié)合中外立法和綜合我國現(xiàn)有國情的前提下,對這些問題提出了自己的觀點(diǎn)及解決辦法。 本文共分為四部分,第一章為公司僵局概述。本章對公司僵局的涵義和特征、公司僵局的種類、形成原因和危害進(jìn)行了分析。第二章為國外化解公司僵局法律救濟(jì)機(jī)制的理論及實(shí)踐。本章為公司僵局的法律救濟(jì)提供理論上的依據(jù),同時(shí)著重介紹了兩大法系關(guān)于公司僵局的法律救濟(jì)制度,對其一些主要救濟(jì)措施進(jìn)行了研究,對其優(yōu)點(diǎn)及不足之處略作了點(diǎn)評,以為下文的改革構(gòu)想提供借鑒。第三章為我國公司僵局的法律救濟(jì)制度評析。本章介紹了新《公司法》出臺(tái)前的關(guān)于化解企業(yè)僵局的歷史立法狀況,并且著重評析新《公司法》出臺(tái)后,對公司僵局救濟(jì)制度的規(guī)定及存在問題的情況,指出其不足之處,以為下一章關(guān)于立法的修改和完善做鋪墊。第四章是本文的落腳點(diǎn)和論述的歸宿,重點(diǎn)為我國公司在規(guī)制、化解公司僵局問題上提出了在章程中安排預(yù)防和化解公司僵局的規(guī)定、將司法調(diào)解作為必經(jīng)程序、增設(shè)強(qiáng)制股權(quán)置換制度、完善公司司法解散制度等幾項(xiàng)立法建議。
[Abstract]:With the development of social production and life, various types of corporate deadlock are becoming more and more common. Corporate deadlock not only causes great harm to the interests of the company and its investors, but also has a negative impact on many stakeholders outside the company. Affecting the normal and safe operation of the whole market transaction. It is necessary to find effective measures to resolve the deadlock of the company on the legal level. In some developed countries in the West, after many years of corporate legal practice, The diversified relief measures to resolve the corporate deadlock have been explored, and a mature theoretical basis has been formed. In 2005, the company law was revised by a large margin, finally there was a certain legislative breakthrough, but there is a single remedy, limited measures, too high cost. The deficiency of practicability can not completely solve many problems encountered in practice. On the premise of combining domestic and foreign legislation and synthesizing the existing national conditions of our country, this paper puts forward its own viewpoints and solutions to these problems. This paper is divided into four parts, the first chapter is an overview of corporate deadlock, the meaning and characteristics of corporate deadlock, the types of corporate deadlock, The second chapter is the theory and practice of the legal relief mechanism for resolving the corporate deadlock in foreign countries. This chapter provides the theoretical basis for the legal relief of the corporate deadlock. At the same time, this paper mainly introduces the legal relief system of corporate deadlock in two legal systems, studies some main relief measures, and makes some comments on its advantages and disadvantages. The third chapter is the analysis of the legal relief system of the corporate deadlock in China. This chapter introduces the historical legislative situation of resolving the corporate deadlock before the introduction of the New Company Law. After the introduction of the new Company Law, the provisions of the company deadlock relief system and the existing problems are analyzed, and the shortcomings of the system are pointed out. For the next chapter on the legislative amendments and improvements to do. 4th chapter is the end of this article and the end of the discussion, focusing on the regulation of Chinese companies, This paper puts forward some legislative suggestions on how to prevent and resolve the company deadlock in the articles of association, take judicial mediation as the necessary procedure, add the system of compulsory stock exchange and perfect the system of judicial dissolution of the company.
