【摘要】：公司法有關(guān)設(shè)立中公司的規(guī)定存在諸多不足:對(duì)人、物、行為和組織等公司人格要件的規(guī)定有許多不科學(xué)、不合理的地方,沒有就如何處理公司設(shè)立中圍繞發(fā)起人而發(fā)生的合同行為與侵權(quán)行為作出規(guī)定,對(duì)公司設(shè)立發(fā)起責(zé)任與清算責(zé)任的規(guī)定有失周延等。針對(duì)設(shè)立中公司這些立法上的不足,需要有針對(duì)性地從各個(gè)方面加以完善。
[Abstract]:There are many deficiencies in the provisions of the Company Law concerning the establishment of the company: there are many unscientific and unreasonable provisions on the personality requirements of a company such as person, material, behavior and organization. There is no provision on how to deal with the contractual acts and tort that occur around the promoters in the establishment of the company. The provisions on the liability for initiating and clearing the establishment of a company are out of date and so on. In view of these legislative deficiencies in the establishment of the company, it is necessary to improve it from various aspects.
