【摘要】： 隨著社會(huì)經(jīng)濟(jì)的發(fā)展和個(gè)人投資的需要,大多數(shù)國家都承認(rèn)了一人公司的獨(dú)立地位。我國新修訂的《公司法》已明確承認(rèn)了一人公司的法律地位,也專節(jié)對(duì)一人公司做了特別規(guī)定,這是十分值得肯定的,對(duì)我國理論和實(shí)踐的意義非常重大.然而一人公司在我國立法上畢竟是一個(gè)新生事物,我國公司法對(duì)一人公司的法律規(guī)制有優(yōu)又有缺,有些地方還需要進(jìn)一步的補(bǔ)充和完善。為此,本文從一人公司的基本問題出發(fā),在借鑒國外立法例的基礎(chǔ)上,對(duì)我國一人公司的法律規(guī)制問題進(jìn)行了全面的剖析,總結(jié)優(yōu)缺,并提出了若干設(shè)想。 本文分為四部分,第一部分介紹了一人公司的概念辨析、特征、類型比較及其與個(gè)人獨(dú)資企業(yè)的區(qū)別。第二部分闡述了一人公司法律規(guī)制的演進(jìn),包括外國一人公司法律規(guī)制的演進(jìn)和我國一人公司法律規(guī)制的演進(jìn)。第三部分闡述了一人公司的法律地位、國外的一人公司的法人格否認(rèn)制度以及我國一人公司法人格否認(rèn)制度的確立。第四部分總結(jié)了我國立法上對(duì)一人公司的法律規(guī)制及其意義,并在此基礎(chǔ)上提出了我國現(xiàn)行一人公司法律制度的確立的不足與完善設(shè)想。
[Abstract]:With the development of social economy and the need of individual investment, most countries have recognized the independent status of one-man company. The newly revised Company Law of our country has clearly recognized the legal status of one-man company. Special section of the one-man company has made special provisions, which is very worthy of recognition, the theory and practice of our country is very significant. However, one-man company in our legislation is a new thing after all. The company law of our country has advantages and disadvantages to the legal regulation of one-man company, and some places still need to be further supplemented and perfected. Therefore, this paper starts from the basic problems of one-man company and draws lessons from foreign legislative examples. This paper makes a comprehensive analysis of the legal regulation of one-man companies in China, summarizes the advantages and disadvantages, and puts forward some tentative ideas. This paper is divided into four parts. The first part introduces the concept of one-man company, characteristics, type comparison and the differences with the individual sole proprietorship. The second part expounds the evolution of legal regulation of one-man company. Including the evolution of legal regulation of foreign one-man companies and the evolution of legal regulation of one-man companies in China. The third part expounds the legal status of one-man companies. The legal personality denial system of one-man company abroad and the establishment of one-person company law denial system in China. Part 4th summarizes the legal regulation and significance of one-person company in our legislation. On the basis of this, the author puts forward the deficiency and perfection of the legal system of one-man company in our country.
