【摘要】：澳大利亞政府深感國家安全利益的威脅,加之不斷復(fù)雜化、具有隱蔽性的金融工具在直接投資領(lǐng)域中廣泛運(yùn)用,原有的法律難于實(shí)現(xiàn)對(duì)這些新投資工具的統(tǒng)一規(guī)制。澳大利亞自2008年以來圍繞以上問題,兩次大規(guī)模修訂其1975年《澳大利亞外國收購與接管法》及相關(guān)實(shí)施細(xì)則,并且頻繁出臺(tái)外資政策,這些舉措澄清了國家安全的考察因素,完善了對(duì)政府及相關(guān)投資實(shí)體的規(guī)定,將新的投資工具納入到法律規(guī)制當(dāng)中,從諸多方面提高了國家安全審查標(biāo)準(zhǔn),增強(qiáng)了國家安全審查力度。這些新發(fā)展,對(duì)我國進(jìn)一步完善以2011年初頒布的《關(guān)于建立外國投資者并購境內(nèi)企業(yè)安全審查制度的通知》為中心建立的外資并購國家安全審查的法律制度有很大啟示。
[Abstract]:The Australian government is deeply aware of the threat of the national security interests, as well as the increasing complexity, and the hidden financial instruments are widely used in the field of direct investment, and the original laws are difficult to realize the unified regulation of these new investment instruments. Since 2008, Australia has revised the Australian Foreign takeover and takeover Act 1975 and its relevant implementation rules twice since 2008, and has introduced foreign investment policies frequently. These measures have clarified the investigation factors of national security. The regulations of the government and related investment entities have been perfected, the new investment tools have been brought into the legal regulation, and the national security review standard has been raised from many aspects, and the national security review has been strengthened. These new developments have great implications for China to further improve the legal system of national security review of foreign mergers and acquisitions, which is centered on the "notice on establishing the Safety Review system for domestic Enterprises merger and acquisition by Foreign investors" issued at the beginning of 2011.
