【摘要】：2011年3月美國聯(lián)邦最高法院審結(jié)的Matrixx案,明確了原告提起私人證券欺詐之訴時應(yīng)滿足的"重大性"和"故意"兩個起訴標(biāo)準(zhǔn)之具體含義。最高法院拒絕在"重大性"問題上適用黑白分明的判斷標(biāo)準(zhǔn),堅持從"是否有實質(zhì)性可能性使一個理性的投資者認(rèn)為被遺漏信息的披露將顯著改變現(xiàn)有信息的全局"角度來判斷某一信息是否重大。Matrixx案判決將進(jìn)一步加強上市公司的披露義務(wù),并在一定程度上為原告提起證券欺詐之訴提供便利。
[Abstract]:The Matrixx case, which was reviewed by the Federal Supreme Court of the United States in March 2011, clarifies the specific meaning of the two standards of "importance" and "intentional" for the prosecution of private securities fraud. The supreme court refuses to apply the black and white judgment standard on the "importance" question, insisting on "whether there is a substantial possibility to make a rational or not." The investors believe that the disclosure of the missing information will significantly change the overall "perspective of the existing information" to judge whether a certain information is important.Matrixx case decision will further strengthen the disclosure obligation of listed companies, and to a certain extent, it is convenient for the plaintiff to bring securities fraud.
