中國(guó)和尼日利亞外商投資法律制度比較研究

【摘要】: 中尼兩國(guó)的外商直接投資在本國(guó)的經(jīng)濟(jì)發(fā)展中都占有重要的地位,近年來兩國(guó)之間的直接投資有較快增長(zhǎng),但兩國(guó)外商法律制度方面在制度體系和具體制度方面存在著較大的差別。本論文將主要采用比較研究的方法,從立法背景、歷史發(fā)展、體系、準(zhǔn)入制度、管理制度、資本制度、鼓勵(lì)和保護(hù)制度等方面對(duì)中尼兩國(guó)外商投資法律制度進(jìn)行分析,尋找兩者間的共性,探討兩者間的差異性,以對(duì)完善中國(guó)外商投資法律制度提出建議。全文包括前言和五個(gè)章節(jié): 第一章——中尼兩國(guó)外資立法背景、現(xiàn)狀及存在的問題。本章對(duì)中尼兩國(guó)外資立法背景、歷史發(fā)展階段、體系及其特點(diǎn)、存在的問題等方面做了對(duì)比介紹。中國(guó)采用內(nèi)、外資分別立法模式,以企業(yè)形式為標(biāo)準(zhǔn)分別立法,立法權(quán)比較分散。尼日利亞則制定了法典化的外資基本法,立法權(quán)比較集中。 第二章——中尼兩國(guó)外商投資準(zhǔn)入制度。本章介紹了中尼兩國(guó)在引進(jìn)外資投向、外資準(zhǔn)入的條件、形式、審批機(jī)構(gòu)、范圍、程序等方面的制度情況,探討了兩者間的異同。中國(guó)較尼日利亞對(duì)外資準(zhǔn)入限制較多,審批更嚴(yán)格,程序更復(fù)雜。 第三章——中尼兩國(guó)外商投資管理制度。本章對(duì)中尼兩國(guó)在外國(guó)投資者的權(quán)利、外商投資企業(yè)的權(quán)力機(jī)構(gòu)、經(jīng)營(yíng)管理機(jī)構(gòu)、資本與外匯管理等外商投資管理制度的共性和差異性做了概要說明。尼日利亞較中國(guó)對(duì)于外國(guó)投資者權(quán)利、組織機(jī)構(gòu)、資本與外匯管制規(guī)定地相對(duì)寬泛。 第四章——中尼兩國(guó)鼓勵(lì)和保護(hù)外商投資制度。本章就中尼兩國(guó)在外商投資鼓勵(lì)措施、優(yōu)惠制度、保障措施、解決爭(zhēng)端等進(jìn)行了深入探討。 第五章——完善中國(guó)外資立法的建議。本章就完善中國(guó)外資立法的必要性和可行性做了分析,并從增加外商投資基本形式、調(diào)整稅收優(yōu)惠措施、重構(gòu)外資準(zhǔn)入與審批制度、修訂投資保障措施與投資爭(zhēng)議解決機(jī)制等方面提出了完善中國(guó)外資立法的具體建議。 貫穿全文的主題思想是:通過中尼兩國(guó)外商投資法律制度的比較研究,概括中國(guó)外商投資法律制度的不足之處,并以理論和實(shí)踐分析得出中國(guó)外資法律體系需要并且能夠重構(gòu)的結(jié)論。通過比較研究,本論文試圖彌補(bǔ)法學(xué)界在中尼兩國(guó)外商投資法律制度相關(guān)問題比較研究的空白,為推動(dòng)國(guó)別比較法學(xué)的進(jìn)一步發(fā)展盡綿薄之力。
[Abstract]:Foreign direct investment (FDI) between China and Nepal plays an important role in the economic development of China and Nepal. In recent years, the direct investment between the two countries has increased rapidly. However, there are great differences between the two countries in terms of foreign legal systems and specific systems. This thesis mainly adopts the comparative research method, from the legislative background, the historical development, the system, the admission system, the management system, the capital system, the encouragement and the protection system and so on aspect carries on the analysis to the Sino-Nepalese foreign investment legal system. In order to perfect the legal system of foreign investment in China, the author tries to find out the commonness and the difference between the two. The full text includes preface and five chapters: the first chapter-China and Nepal two countries foreign investment legislation background, the present situation and the existence question. This chapter compares the legislative background, historical development stage, system and characteristics of foreign investment between China and Nepal. China adopts the internal and foreign legislation model, the enterprise form as the standard legislation, legislative power is scattered. Nigeria has enacted a basic law on foreign investment, with concentrated legislative power. Chapter two-admission system of Foreign Investment between China and Nepal. This chapter introduces the institutional situation of China and Nepal in introducing foreign investment, the conditions, forms, examination and approval agencies, scope, procedures and so on, and discusses the similarities and differences between the two countries. China has more restrictions on foreign investment access, stricter approvals and more complex procedures than Nigeria. Chapter III-Management system of Foreign Investment between China and Nepal. This chapter gives an overview of the similarities and differences of the foreign investment management systems between China and Nepal, such as the rights of foreign investors in China and Nepal, the power organs of foreign-invested enterprises, the management agencies, the capital and foreign exchange management. Nigeria has broader rules on foreign investor rights, institutions, capital and foreign exchange controls than China. Chapter IV-China and Nepal encourage and protect the system of foreign investment. This chapter discusses the incentive measures, preferential system, safeguard measures and dispute settlement of foreign investment between China and Nepal. Chapter five-suggestions on perfecting China's Foreign Investment legislation. This chapter analyzes the necessity and feasibility of perfecting the legislation on foreign investment in China, and reconstructs the admission and approval system of foreign investment by increasing the basic forms of foreign investment, adjusting the preferential tax measures, and reconstructing the system of entry and approval of foreign capital. Some suggestions on how to perfect China's foreign investment legislation are put forward in the aspects of revising investment guarantee measures and investment dispute resolution mechanism. The main ideas throughout the full text are: through the comparative study of the legal system of foreign investment between China and Nepal, the shortcomings of the legal system of foreign investment in China are summarized. The conclusion that China's foreign investment legal system needs and can be reconstructed is concluded by theoretical and practical analysis. Through comparative study, this paper tries to make up for the gap in the comparative study of the legal system of foreign investment in China and Nepal, and to promote the further development of the comparative law of the country.
