【摘要】：作為公司外部治理機制之一,通過對信息的收集、處理和擴散,媒體在降低信息不對稱的同時,影響著各類信息使用者對上市公司的風險感知。作為資本市場信息鑒證服務的提供者,審計師對企業(yè)風險的判斷受到媒體負面報道的影響。基于事務所轉制視角,本文以2009-2015年滬深A股上市公司為樣本,實證分析媒體負面報道對審計契約穩(wěn)定性的影響。研究發(fā)現(xiàn),負面報道次數(shù)與審計師變更之間顯著正相關;與轉制前相比,轉制后的負面報道對審計師變更的影響更加顯著;按照地區(qū)法制環(huán)境和公司內(nèi)部控制建設水平分組后,這些關系僅存在于在地區(qū)法制環(huán)境建設水平較高、公司內(nèi)部控制質(zhì)量較差的樣本中。上述結論意味著我國基于市場競爭的聲譽機制雖然尚不成熟,但審計師法律責任的強化是媒體發(fā)揮治理作用的重要路徑,媒體扮演好監(jiān)督角色對資本市場的健康發(fā)展具有重要意義。
[Abstract]:As one of the external corporate governance mechanisms, through the collection, processing and diffusion of information, the media not only reduces the asymmetry of information, but also affects the risk perception of all kinds of information users to listed companies. As a provider of capital market information authentication service, auditors' judgment of enterprise risk is influenced by negative media reports. Based on the perspective of firm transformation, this paper takes Shanghai and Shenzhen A-share listed companies as samples from 2009-2015, and empirically analyzes the impact of negative media reports on the stability of audit contracts. The study found that the number of negative reports was significantly positively correlated with the change of auditors; the negative reports after the conversion had more significant impact on the change of auditors than before; after grouping according to the regional legal environment and the level of internal control construction of the company, These relationships only exist in the samples with high level of legal environment construction and poor internal control quality. The above conclusion means that the reputation mechanism based on market competition in China is not mature, but the strengthening of auditor's legal responsibility is an important way for the media to play its role in governance. It is of great significance for the healthy development of the capital market for the media to play a good supervisory role.
