【摘要】：2013年我國(guó)公司資本制度的變革降低了公司的注冊(cè)門檻,鼓勵(lì)了投資創(chuàng)業(yè)的熱情,順應(yīng)了當(dāng)前世界各國(guó)資本制度發(fā)展的潮流。由于我國(guó)公司資本制度改革還處在初期階段,對(duì)于改革的配套措施還在不斷探索,無(wú)法應(yīng)對(duì)制度變革帶來(lái)的新問(wèn)題。本文以我國(guó)公司資本認(rèn)繳制下的股東出資義務(wù)作為研究對(duì)象,對(duì)我國(guó)公司資本制度實(shí)行認(rèn)繳制后引發(fā)的股東出資義務(wù)相關(guān)問(wèn)題進(jìn)行了詳盡的分析,并借鑒英美法系和大陸法系主要代表國(guó)家的制度實(shí)踐經(jīng)驗(yàn),針對(duì)我國(guó)公司資本認(rèn)繳制下股東出資義務(wù)所存在的問(wèn)題提出相應(yīng)的完善建議,以期使人們對(duì)資本認(rèn)繳制下的股東出資義務(wù)有一個(gè)客觀理性的認(rèn)識(shí),同時(shí)也希望能為日后司法實(shí)踐中遇到的問(wèn)題提供一點(diǎn)理論的支撐,為我國(guó)商事活動(dòng)的健康發(fā)展盡上自己的綿薄之力。
[Abstract]:In 2013, the reform of Chinese company capital system lowered the threshold of company registration, encouraged the enthusiasm of investment and entrepreneurship, and complied with the current trend of capital system development in the world.Since the reform of corporate capital system in China is still in its infancy, the necessary measures for the reform are still being explored, and it is unable to cope with the new problems brought about by the system reform.This article takes the shareholder's contribution obligation under the company capital subscription system in our country as the research object, has carried on the detailed analysis to the shareholder contribution obligation related question after our country company capital system carries on the subscription system.And draw lessons from the system practice experience of the Anglo-American law system and the continental law system, and put forward the corresponding consummation suggestions to the problems existing in the shareholders' contribution obligation under the corporate capital subscription system in our country.In order to make people have an objective and rational understanding of the obligation of shareholders' contribution under the capital subscription system, it also hopes to provide some theoretical support for the problems encountered in the judicial practice in the future.For the healthy development of commercial activities in our country to do their share.
