【摘要】：我國《公司法》借鑒英美法系的相關公司制度,秉承現(xiàn)代公司法權利制衡的理念,對中小股東的權利給予保護。但縱觀我國的現(xiàn)實情況,在公司內部侵犯中小股東權利的現(xiàn)象層出不窮�！耙还瑟毚蟆�,公司權利高度集中等問題突出,大股東與中小股東利益過于失衡。因此,如何限制大股東或控股股東的權利,完善中小股東權利保護的法律法規(guī),是當前保護中小股東權利的關鍵。《公司法》在中小股東權利方面仍有諸多需要改進和完善之處。本文結合管理學、法學、社會學等相關理論研究,運用比較分析和實證分析的方法,從五部分對中小股東權利保護的相關問題進行論述:第一部分,從介紹背景,厘清概念,進而引出中小股東權利保護的原則。第二部分,從法理基礎角度論述保護中小股東的意義所在。第三部分,闡述中小股東權利受到侵害的現(xiàn)狀,并對其原因進行了剖析。第四部分,從《公司法》法律條文入手,揭示目前的立法現(xiàn)狀與有待完善或補充的地方。第五部分就中小股東權利保護法律制度完善等方面提出相應的建議。
[Abstract]:The Company Law of our country draws lessons from the relevant company system of Anglo-American legal system, inherits the idea of balance of rights in modern company law, and protects the rights of minority shareholders. The phenomenon of infringing the rights of minority shareholders in the company is endless. "one share dominates", the company rights are highly concentrated and so on. The interests of the majority shareholder and the minority shareholder are too unbalanced. Therefore, how to restrict the rights of the majority shareholder or the controlling shareholder, Perfecting the laws and regulations of minority shareholders' rights protection is the key to protect the rights of minority shareholders at present. There are still many improvements and improvements in the rights of minority shareholders in Company Law. Sociology and other relevant theoretical research, using comparative analysis and empirical analysis methods, from five parts to discuss the protection of minority shareholders' rights: the first part, from the introduction of the background, clarify the concept, The second part discusses the significance of the protection of minority shareholders from the angle of legal theory. The third part expounds the status quo of the infringement of minority shareholders' rights. And analyzed the reasons. 4th part, starting with the legal provisions of the Company Law, Part 5th puts forward the corresponding suggestions on the perfection of the legal system of the protection of the rights of minority shareholders.
