【摘要】：公司章程作為一種關系到公司設立、組成和后續(xù)運作方式的基本文件,作為一套股東、發(fā)起人以及其他成員所必須遵守的自治規(guī)則,章程的擬定在公司發(fā)展中發(fā)揮著重要的作用。隨著“公司現(xiàn)代化”理念在世界范圍內席卷,各國法律都相繼紛紛采取修整措施,逐步替換強制性法規(guī),開放更具個性化和可操作性的權限開口,將多種游離在法律邊緣的公司行為逐步拉回法制軌道�？墒窃凇翱s減強制、鼓勵自治”的大勢之下,公司對章程自治性卻缺乏關注,致使在實踐層面未能體察立法初衷。新法為公司章程提供自治自由的同時,也為自治權限的濫用埋下了隱患,而許多亟待放權的環(huán)節(jié)卻沒有達成真正的自治。有鑒于此,本文結合我國政治、經濟體制特點,對當前公司章程的自治性問題作出分析。首先界定了相關概念,簡述了學說對公司章程性質的一般認識,并對這些定性觀點作出了簡要評析之后,解釋了公司章程自治性的內涵、特點;其次,闡述了公司章程的自治內容,論證了章程自治賦權和限制的立法必要性,分析了自治邊界的確定原則和確定標準,以及在現(xiàn)實層面和司法層面如何明確章程自治的區(qū)間范圍;最后,立足于我國立法現(xiàn)狀,檢討章程自治所面臨的問題,包括章程的“形式化”、“自益性”權限過大等,并提出了相應的完善對策。
[Abstract]:The articles of association as a basic document relating to the manner of incorporation, formation and subsequent operation of the company, as a set of autonomous rules to be observed by shareholders, sponsors and other members, The formulation of articles of association plays an important role in the development of the company. With the concept of "company modernization" sweeping through the world, the laws of all countries have taken measures one after another to gradually replace mandatory laws and regulations. Opening more individualized and operable authority openings, gradually pulling a variety of corporate behaviors away from the edge of the law back to the legal track. But under the general trend of "curtailing coercion and encouraging autonomy," companies do not pay much attention to the autonomy of the articles of association. The new law not only provides autonomy freedom for the articles of association, but also buries hidden trouble for the abuse of autonomy authority, and many links that need to be devolved urgently fail to achieve real autonomy. Based on the characteristics of political and economic systems in China, this paper analyzes the autonomy of the current articles of association. Firstly, it defines the relevant concepts and gives a brief account of the general understanding of the nature of the articles of association in the theory. After a brief analysis of these qualitative viewpoints, the connotation and characteristics of the autonomy of the articles of association are explained. Secondly, the contents of the autonomy of the articles of association are expounded, and the legislative necessity of empowering and restricting the autonomy of the articles of association is demonstrated. This paper analyzes the principles and criteria of determining the autonomy boundary, and how to define the range of the autonomy of the constitution in the realistic and judicial level, finally, based on the current legislative situation of our country, it reviews the problems faced by the autonomy of the constitution. It includes the formalization of articles of association and the excessive authority of self-interest, and puts forward the corresponding perfect countermeasures.
