中國出版企業(yè)現(xiàn)代治理結(jié)構(gòu)研究

【摘要】:隨著文化體制改革日漸深入,我國傳統(tǒng)的出版事業(yè)單位逐步轉(zhuǎn)制成為出版企業(yè),成為市場主體。但無論是以上市出版集團(tuán)為代表的改制成功者,還是以大學(xué)出版社為代表的改制滯后者,其內(nèi)外部的治理結(jié)構(gòu)還存在著一系列亟待解決的問題,需要通過繼續(xù)改革創(chuàng)新加以解決,從而進(jìn)一步解放出版企業(yè)的生產(chǎn)力,繁榮我國出版市場,推進(jìn)國家軟實(shí)力的提升。 本文從我國出版體制改革的實(shí)踐出發(fā),分析當(dāng)前出版企業(yè)公司治理的發(fā)展現(xiàn)狀和存在的問題,結(jié)合出版業(yè)的特殊情況,借鑒國內(nèi)外新聞出版?zhèn)髅狡髽I(yè)以及國有企業(yè)公司治理的成功經(jīng)驗(yàn),以重塑出版市場主體地位、創(chuàng)新出版企業(yè)內(nèi)部治理結(jié)構(gòu)和外部治理機(jī)制等方面為重點(diǎn),力求構(gòu)建出我國出版企業(yè)現(xiàn)代治理結(jié)構(gòu),為改制后的中國出版企業(yè)完善公司治理、促進(jìn)出版業(yè)的科學(xué)發(fā)展提供幫助和借鑒。本文主要內(nèi)容包括以下八個(gè)部分: 第一章為引言部分,在介紹本研究的背景的基礎(chǔ)上,指出了研究具有實(shí)踐經(jīng)驗(yàn)參考與思想指導(dǎo)性、學(xué)科建設(shè)改善和理論豐富性價(jià)值的理論和實(shí)踐意義,其次全面回顧了國內(nèi)外一般公司治理結(jié)構(gòu)和出版企業(yè)公司治理結(jié)構(gòu)的研究,并總結(jié)了后者的特點(diǎn)和不足之處,最后提出了論文的研究框架,研究方法和創(chuàng)新點(diǎn)。 第二章論述我國出版企業(yè)公司治理結(jié)構(gòu)研究的理論基礎(chǔ),包括委托代理、政府管制、現(xiàn)代產(chǎn)權(quán)和雙重效益兼顧等理論,探討其各自對出版企業(yè)現(xiàn)代治理結(jié)構(gòu)建設(shè)的要求,為建立現(xiàn)代治理結(jié)構(gòu)奠定理論支撐。 第三章在全面梳理了我國出版體制改革歷程的基礎(chǔ)上,總結(jié)出版機(jī)構(gòu)多年來治理模式的制度變遷,并從產(chǎn)權(quán)和公司內(nèi)外部治理三個(gè)方面闡述了轉(zhuǎn)制背景下出版企業(yè)治理結(jié)構(gòu)存在的弊端。 第四章先深入分析了我國出版市場主體地位缺失的現(xiàn)狀,然后提出出版企業(yè)要通過建立出版現(xiàn)代產(chǎn)權(quán)制度,并采取轉(zhuǎn)企、改制和上市三個(gè)漸進(jìn)的路徑,重塑出版企業(yè)新型市場主體地位。 第五章詳細(xì)論述了出版企業(yè)內(nèi)部治理結(jié)構(gòu)和機(jī)制的創(chuàng)新策略。以數(shù)字模型的形式闡明了出版企業(yè)所有者和經(jīng)營者之間的權(quán)責(zé)關(guān)系;將“三會四權(quán)”制作為出版企業(yè)內(nèi)部治理結(jié)構(gòu)的建設(shè)目標(biāo),提出完善措施;建議將內(nèi)部信息披露制度、激勵(lì)機(jī)制、“黃金股”制度作為企業(yè)內(nèi)部機(jī)制的建設(shè)重點(diǎn);針對我國出版企業(yè)改制獨(dú)有的“新老三會”沖突問題,提出了改善對策。 第六章從黨和政府的管制、市場的監(jiān)控和獎懲和社會公眾及文化的控制三個(gè)方面提出了改善出版企業(yè)外部治理機(jī)制的創(chuàng)新之舉。 第七章是案例分析,以遼寧出版集團(tuán)為例,主要介紹其市場主體地位的確立和目前的治理結(jié)構(gòu),并指出其存在的問題,力圖為其他出版企業(yè)確立市場主體地位、創(chuàng)新內(nèi)部治理結(jié)構(gòu)提供借鑒和參考。 第八章是結(jié)論和展望,綜述本文的研究結(jié)論并對出版企業(yè)公司治理進(jìn)行展望。 本文主要采用文獻(xiàn)研究法、跨學(xué)科研究法、定量分析法和案例分析法展開研究。在研究角度上,基礎(chǔ)研究和應(yīng)用研究相結(jié)合。在基礎(chǔ)研究上,本文對出版企業(yè)現(xiàn)代治理結(jié)構(gòu)的定義、功能、特征以及理論基礎(chǔ)進(jìn)行了闡述,形成了較為完整的出版企業(yè)現(xiàn)代治理結(jié)構(gòu)理論體系。在應(yīng)用研究上,本文以文化體制改革為背景,從出版企業(yè)公司治理結(jié)構(gòu)的理論分析,引申到出版治理改革的模式創(chuàng)新上,進(jìn)而引申到出版產(chǎn)權(quán)制度、管理制度、激勵(lì)制度等多方面的改革,以圖對出版體制改革的實(shí)踐做出更為深入和科學(xué)的分析。 在研究內(nèi)容上,宏觀研究和微觀研究相結(jié)合。宏觀研究上,本文從制度經(jīng)濟(jì)學(xué)的角度分析出版體制改革的變遷和出版機(jī)構(gòu)治理模式的制度變遷,總結(jié)了我國出版業(yè)制度變遷及治理演進(jìn)的歷史軌跡與發(fā)展方向,對今后出版企業(yè)建立現(xiàn)代治理結(jié)構(gòu)具有較好的現(xiàn)實(shí)指導(dǎo)作用。在微觀研究上,通過重塑出版市場主體地位、創(chuàng)新出版企業(yè)內(nèi)部治理結(jié)構(gòu)和外部治理機(jī)制,努力構(gòu)建出版企業(yè)現(xiàn)代治理結(jié)構(gòu)。就出版企業(yè)個(gè)體而言,這是在文化體制改革背景下,在法律框架內(nèi),政治力量和資本力量協(xié)同管理,黨委領(lǐng)導(dǎo)和法人治理結(jié)構(gòu)相結(jié)合,多元主體既相互制衡又注重協(xié)調(diào)和持續(xù)互動的治理結(jié)構(gòu)。 在研究方法上,實(shí)證研究和規(guī)范研究相結(jié)合,前者回答“是什么”、“客觀現(xiàn)實(shí)是怎樣”的問題,后者回答“什么是好的”、“應(yīng)該是怎樣”的問題。在實(shí)證研究上,以馬克思主義新聞出版理論、企業(yè)理論和文化產(chǎn)業(yè)理論為基礎(chǔ),對出版治理結(jié)構(gòu)的一般概念作了理論分析,著重考慮其相比其他領(lǐng)域所獨(dú)有的宣傳性質(zhì)和文化屬性。在規(guī)范研究上,本文從制度分析、歷史分析、現(xiàn)實(shí)發(fā)展分析及案例分析中總結(jié)了出版治理應(yīng)遵循的規(guī)律,如,通過真實(shí)的案例分析,對出版類上市公司的企業(yè)性質(zhì)、上市途徑和經(jīng)營情況進(jìn)行對比,探討了我國出版類上市公司的整體狀況和不同發(fā)展模式的優(yōu)勢劣勢,為我國其他出版企業(yè)是否上市,以及上市后的經(jīng)營問題、資金利用問題等提供有力的借鑒和思考。
[Abstract]:With the deepening of the cultural system reform, the traditional publishing business units of our country gradually become the publishing enterprises and become the main body of the market.
