【摘要】：委托創(chuàng)作已成為作品創(chuàng)作的重要方式,委托創(chuàng)作合同糾紛也日益成為一種常見現(xiàn)象。從預(yù)防糾紛和司法統(tǒng)一的角度,本文以委托創(chuàng)作合同的法律性質(zhì)為研究對象,旨在以委托創(chuàng)作合同特殊的合同構(gòu)成和給付特點為視角,通過文獻研究、案例研究和比較研究的方法,探討、分析委托創(chuàng)作合同的實質(zhì)屬性,為司法實務(wù)提供參照。本文認為,在關(guān)于委托創(chuàng)作合同法律性質(zhì)的已有觀點中,承攬及著作權(quán)轉(zhuǎn)讓合同說應(yīng)予采信,但該說并不全面。委托創(chuàng)作合同在特定情形下還包含了著作權(quán)許可使用合同的條款內(nèi)容。不論何種情形下,委托創(chuàng)作合同都在實質(zhì)上同時規(guī)定了兩種典型合同的條款內(nèi)容,該種合同類型屬于非典型合同之混合合同。另一方面,創(chuàng)作人在委托創(chuàng)作合同里擔(dān)負著兩種給付義務(wù),而出資人僅擔(dān)負單一的對待給付。因此,進一步根據(jù)雙方當(dāng)事人給付義務(wù)的特點,委托創(chuàng)作合同應(yīng)當(dāng)定性為混合合同之類型結(jié)合合同。
[Abstract]:Entrustment creation has become an important way to create works, and contract disputes have become a common phenomenon day by day. From the angle of preventing disputes and judicial unification, this paper takes the legal nature of entrusting creation contract as the object of study. From the perspective of the special contract constitution and payment characteristics of the commission creation contract, this paper discusses and analyzes the essential attributes of the commission creation contract through the methods of literature study, case study and comparative study, and provides a reference for the judicial practice. In the existing views on the legal nature of the commission creation contract, the contract of contract for contracting and the transfer of copyright should be accepted for credit. However, this theory is not comprehensive. Under certain circumstances, the commission creation contract also contains the terms and conditions of the copyright license contract. In any case, the commission creation contract provides in essence the terms of the two typical contracts. This type of contract belongs to the mixed contract of atypical contract. On the other hand, the creator has two kinds of obligation to pay in the contract of entrustment, while the investor is only responsible for the single treatment of payment. Furthermore, according to the characteristics of the parties' obligation to pay, the contract of commission creation should be characterized as the type of hybrid contract.
