【摘要】：隨著經濟全球化的不斷深入,我國對外直接投資總體上呈現(xiàn)著不斷上升發(fā)展的態(tài)勢。并且,我國綜合國力不斷提升,“一帶一路”戰(zhàn)略深入推進,以及我國對外直接投資的經驗不斷豐富,政策體系不斷完善,國家間合作更加密切等因素的合力作用,使得我國企業(yè)“走出去”的步伐逐漸加快。并且隨著我國經濟的不斷發(fā)展,對于礦產資源的需求與日俱增,再加上我國礦產資源條件限制,使得在“走出去”的企業(yè)當中,礦產企業(yè)一直占有很大比重。但是,由于對目標國家以及采礦行業(yè)所面臨的一些風險沒有很好地認識,導致了我國礦產企業(yè)在對外直接投資的過程中遭受了巨大損失。因此,我國礦產企業(yè)面臨哪些風險、導致這些風險產生的原因有哪些、怎樣防范并化解這些風險就成為了我們亟待研究的問題。本文主要從以下六個方面進行研究:緒論部分,首先介紹了文章的選題背景以及研究意義所在。之后對相關文獻研究進行梳理,總結主要觀點及研究方向。介紹本文的主要研究方法及研究內容,文章的創(chuàng)新點、難點與不足。第一章,理論基礎部分。介紹了對外直接投資風險相關理論,為下面的分析進行鋪墊。第二章,分別介紹礦產企業(yè)自身的特點、采礦業(yè)的現(xiàn)狀以及我國采礦業(yè)對外直接投資現(xiàn)狀。第三章,從風險的來源入手,分別從內部環(huán)境和外部環(huán)境兩個角度來分析導致我國礦產企業(yè)對外直接中面臨風險的原因;列舉近十年來受對外直接投資風險影響的礦產企業(yè)“走出去”的眾多失敗案例。第四章,選取礦產企業(yè)對外直接投資失敗的一個較為典型的案例——中鋁并購力拓的案例,從并購背景、動因、過程、風險及處理等方面進行分析。第五章,對策與建議,對我國采礦業(yè)對外直接投資風險防范和管理提出幾點對策與建議。
[Abstract]:With the deepening of economic globalization, China's foreign direct investment (OFDI) is on the whole rising. Moreover, the overall national strength of our country has been continuously improved, the "Belt and Road" strategy has been advanced in depth, and the resultant role of factors such as the continuous enrichment of China's experience in foreign direct investment, the continuous improvement of the policy system, the closer cooperation between countries, and so on, Make our country enterprise "go out" step by step quicken gradually. With the development of our country's economy, the demand for mineral resources is increasing day by day, and the condition of mineral resources in our country is limited, which makes the mineral enterprises always occupy a large proportion among the enterprises "going out". However, due to the lack of a good understanding of the risks faced by the target countries and the mining industry, China's mineral enterprises have suffered huge losses in the process of foreign direct investment. Therefore, what risks are faced by Chinese mining enterprises, what are the causes of these risks, and how to prevent and resolve these risks has become an urgent problem for us to study. This article mainly carries on the research from the following six aspects: introduction, first introduced the article topic background and the research significance. Then the related literature research is combed, the main viewpoints and research direction are summarized. This paper introduces the main research methods and research contents, innovation, difficulties and shortcomings. The first chapter is the theoretical basis. Introduced the foreign direct investment risk correlation theory, for the following analysis carries on the cushion. The second chapter introduces the characteristics of mineral enterprises, the present situation of mining industry and the current situation of foreign direct investment of mining industry in China. The third chapter, from the source of risk, respectively from the internal environment and external environment to analyze the causes of direct exposure to the external risks of Chinese mineral enterprises; This paper enumerates many failure cases of mineral enterprises affected by foreign direct investment risk in recent ten years. The fourth chapter selects a typical case of mineral enterprises' FDI failure-Chinalco M & A case of Rio Tinto, from the M & A background, motivation, process, risk and treatment. The fifth chapter, countermeasures and suggestions, put forward some countermeasures and suggestions for the risk prevention and management of China's foreign direct investment in mining industry.
