【摘要】：我國外資準(zhǔn)入前國民待遇存在審批過嚴(yán)、準(zhǔn)入程序煩瑣、準(zhǔn)入難度大等問題。應(yīng)取消以資本來源為區(qū)別的企業(yè)設(shè)立審查制度,建立以行業(yè)為標(biāo)準(zhǔn)的企業(yè)設(shè)立審查制度;梳理現(xiàn)行需要審批及不考慮對(duì)外資開放行業(yè)的法律規(guī)范;完善外資并購的國家安全審查制度,以根本安全例外作為投資準(zhǔn)入前國民待遇例外清單的補(bǔ)充,采取多種國民待遇例外的組合形式,維護(hù)國家利益。
[Abstract]:There are some problems in the national treatment of foreign capital before admission, such as strict examination and approval, cumbersome access procedure and difficult access.It is necessary to abolish the establishment and review system of enterprises based on the source of capital and establish the examination system of enterprises with industry as the standard, and sort out the current legal norms which need to be examined and approved and which do not consider opening up to foreign capital.Perfect the national security review system of foreign capital M & A, take the fundamental security exception as the supplement of the national treatment exception list before the investment admission, adopt the combination form of various national treatment exception, safeguard the national interest.
