【摘要】：長期以來,國有企業(yè)改革一直備受矚目,但也一直存在很多問題,隨著改革的不斷深入,混合所有制經(jīng)濟(jì)對國有企業(yè)改革的深化、資源配置效率的提高、企業(yè)競爭力的增強(qiáng)起到越來越重要作用。在國有企業(yè)混合所有制改革過程中,股權(quán)結(jié)構(gòu)、財務(wù)結(jié)構(gòu)以及公司治理結(jié)構(gòu)等難免會發(fā)生變化,進(jìn)而影響企業(yè)價值。通過研究國有企業(yè)混合所有制改革對企業(yè)價值的影響,將為國有企業(yè)的混合所有制改革提供一定的指導(dǎo)作用或者成功經(jīng)驗。通過引入股權(quán)結(jié)構(gòu)、財務(wù)結(jié)構(gòu)和公司治理結(jié)構(gòu),探討國有企業(yè)混合所有制改革對企業(yè)價值的影響路徑。在介紹相關(guān)背景和國內(nèi)外研究現(xiàn)狀的基礎(chǔ)上,采用演繹推理與案例分析相結(jié)合的方法展開研究工作,選取中信國安為案例研究的對象,介紹其基本情況并對混合所有制改革的現(xiàn)狀進(jìn)行分析,梳理出混合所有制改革如何影響股權(quán)變動、財務(wù)結(jié)構(gòu)和公司治理結(jié)構(gòu),進(jìn)而對企業(yè)價值產(chǎn)生影響的作用機(jī)理；結(jié)合中信國安混合所有制改革的實際情況進(jìn)行具體路徑的分析,選擇每股收益、每股凈資產(chǎn)、凈資產(chǎn)收益率作為企業(yè)價值的衡量指標(biāo)來綜合分析混合所有制改革前后的企業(yè)價值；依據(jù)分析結(jié)果,研究發(fā)現(xiàn)中信國安在混合所有制改革提升企業(yè)價值的成功經(jīng)驗：優(yōu)化股權(quán)結(jié)構(gòu)、調(diào)整財務(wù)結(jié)構(gòu),以期為當(dāng)下的國有企業(yè)進(jìn)行混合所有制改革提供一定的借鑒和參考。
[Abstract]:For a long time, the reform of state-owned enterprises has attracted much attention, but there have been many problems. With the deepening of the reform, the mixed ownership economy has deepened the reform of state-owned enterprises and improved the efficiency of resource allocation. The enhancement of enterprise competitiveness plays a more and more important role. In the process of mixed ownership reform of state-owned enterprises, the ownership structure, financial structure and corporate governance structure will inevitably change, and then affect the value of enterprises. By studying the influence of the mixed ownership reform of state-owned enterprises on the value of enterprises, it will provide some guiding role or successful experience for the reform of mixed ownership of state-owned enterprises. By introducing ownership structure, financial structure and corporate governance structure, this paper probes into the influence path of mixed ownership reform of state-owned enterprises on the value of enterprises. On the basis of introducing the relevant background and the research status at home and abroad, this paper adopts the method of deductive reasoning and case analysis to carry out the research work, and selects Citic Guoan as the object of the case study. This paper introduces its basic situation and analyzes the present situation of the reform of mixed ownership, and combs out the mechanism of how the reform of mixed ownership affects the change of equity, financial structure and corporate governance structure, and then affects the value of enterprises. Combined with the actual situation of Citic Guoan mixed ownership reform, the specific path is analyzed, and the earnings per share and net assets per share are selected. As a measure index of enterprise value, the rate of return on net assets comprehensively analyzes the enterprise value before and after the reform of mixed ownership. According to the results of the analysis, it is found that Citic Guoan's successful experience in promoting the value of enterprises in the reform of mixed ownership: optimizing the ownership structure, adjusting the financial structure, In order to provide a certain reference for the current state-owned enterprises to carry out mixed ownership reform.
