【摘要】：日本公司治理監(jiān)督機(jī)制模式的演變反映了同時(shí)期日本公司治理的制度、路徑及理念,其過程包括基于監(jiān)事會(huì)形骸化現(xiàn)象的出現(xiàn)及迎合美國強(qiáng)勢(shì)的經(jīng)濟(jì)統(tǒng)治,監(jiān)督主體從監(jiān)事會(huì)向董事會(huì)進(jìn)行的轉(zhuǎn)變;基于尊重公司自身的治理決定權(quán)以及治理環(huán)境寬松化的政策制度導(dǎo)向,監(jiān)督機(jī)構(gòu)從一元化向二元化進(jìn)行的轉(zhuǎn)變;基于順應(yīng)公司治理趨同化的大潮流以及提高日本公司在國際經(jīng)濟(jì)市場(chǎng)中地位,監(jiān)督理念從借鑒德國模式到美國模式的轉(zhuǎn)變。這些模式演變過程對(duì)我國公司法制在法律移植及其本土化以及尊重公司自主決定權(quán)等方面的建設(shè)有啟示意義。
[Abstract]:The evolution of the mode of corporate governance supervision mechanism in Japan reflects the system, path and concept of corporate governance in Japan in the same period. The process includes the emergence of the formalization of the board of supervisors and catering to the strong economic rule of the United States. The transformation from the board of supervisors to the board of directors; On the basis of respecting the decision-making power of the company's own governance and the policy and system orientation of loosening the governance environment, the supervisory organization changes from monism to dualism; Based on the trend of corporate governance convergence and the improvement of the position of Japanese companies in the international economic market, the concept of supervision has changed from the German model to the American model. The evolution of these models has implications for the development of corporate law in China in terms of law transplantation and localization as well as respect for the decision-making power of the company.
