一帶一路與跨境并購(gòu)

【摘要】:正"一帶一路"倡議提出3年多來(lái),已有100多個(gè)國(guó)家和國(guó)際組織參與,40多個(gè)國(guó)家和國(guó)際組織與中國(guó)簽署了合作協(xié)議。本文從跨境并購(gòu)的整個(gè)流程出發(fā),對(duì)并購(gòu)前、并購(gòu)中、并購(gòu)后三個(gè)階段可能存在的風(fēng)險(xiǎn)和挑戰(zhàn)作出提示,并重點(diǎn)闡述如何通過(guò)盡職調(diào)查、項(xiàng)目管理和人事安排等舉措進(jìn)行應(yīng)對(duì),以提高中國(guó)企業(yè)跨境并購(gòu)成功的可能性,真正實(shí)現(xiàn)與"一帶一路"沿線(xiàn)國(guó)家的共贏共享發(fā)展。并購(gòu)前:通過(guò)盡職調(diào)查助力并購(gòu)決策,制定高管留用方案確保并購(gòu)價(jià)值
[Abstract]:Since the "Belt and Road" initiative was put forward for more than three years, more than 100 countries and international organizations have signed cooperation agreements with China. Starting from the whole process of cross-border M & A, this paper suggests the possible risks and challenges in the three stages of M & A before and after M & A, and focuses on how to deal with them through due diligence, project management and personnel arrangements. In order to improve the possibility of cross-border M & A success of Chinese enterprises, and realize the win-win shared development with the countries along the "Belt and Road". Before M & A: assist M & A decision through due diligence, develop executive retention plan to ensure M & A value
