【摘要】：正"一帶一路"倡議提出3年多來,已有100多個國家和國際組織參與,40多個國家和國際組織與中國簽署了合作協(xié)議。本文從跨境并購的整個流程出發(fā),對并購前、并購中、并購后三個階段可能存在的風險和挑戰(zhàn)作出提示,并重點闡述如何通過盡職調(diào)查、項目管理和人事安排等舉措進行應對,以提高中國企業(yè)跨境并購成功的可能性,真正實現(xiàn)與"一帶一路"沿線國家的共贏共享發(fā)展。并購前:通過盡職調(diào)查助力并購決策,制定高管留用方案確保并購價值
[Abstract]:Since the "Belt and Road" initiative was put forward for more than three years, more than 100 countries and international organizations have signed cooperation agreements with China. Starting from the whole process of cross-border M & A, this paper suggests the possible risks and challenges in the three stages of M & A before and after M & A, and focuses on how to deal with them through due diligence, project management and personnel arrangements. In order to improve the possibility of cross-border M & A success of Chinese enterprises, and realize the win-win shared development with the countries along the "Belt and Road". Before M & A: assist M & A decision through due diligence, develop executive retention plan to ensure M & A value
