【摘要】：使用2003-2014年滬深兩市所有上市公司數(shù)據(jù),研究高管-獨(dú)董任職聯(lián)結(jié)對(duì)企業(yè)"機(jī)會(huì)主義"的費(fèi)用粘性的影響。結(jié)果發(fā)現(xiàn):(1)任職聯(lián)結(jié)增加"機(jī)會(huì)主義"的費(fèi)用粘性;(2)聯(lián)結(jié)強(qiáng)度的提升進(jìn)一步增加"機(jī)會(huì)主義"的費(fèi)用粘性;(3)有效的公司治理機(jī)制可以減少"機(jī)會(huì)主義"的費(fèi)用粘性,但任職聯(lián)結(jié)削弱該治理效應(yīng);(4)由獨(dú)立董事外生離任導(dǎo)致的任職聯(lián)結(jié)破裂,減少了"機(jī)會(huì)主義"的費(fèi)用粘性。
[Abstract]:Using the data of all listed companies in the Shanghai and Shenzhen stock markets from 2003 to 2014, this paper studies the effect of executive-sole executive relationship on the "opportunistic" cost stickiness of enterprises. The results show that: (1) increasing the cost stickiness of "opportunism" in the service connection; (2) increasing the connection strength; increasing the cost stickiness of "opportunism" further; (3) the effective corporate governance mechanism can reduce the cost viscosity of "opportunism". However, the term connection weakens the governance effect. 4) the break down of the post connection caused by the exogenetic departure of the independent director reduces the cost stickiness of "opportunism".
