【摘要】：金融危機(jī)以來(lái),盡管世界經(jīng)濟(jì)復(fù)蘇前景不容樂(lè)觀、全球?qū)ν庵苯油顿Y呈現(xiàn)下滑趨勢(shì),但中國(guó)企業(yè)正在以前所未有的勢(shì)頭進(jìn)行海外并購(gòu)。推動(dòng)中國(guó)企業(yè)海外并購(gòu)熱潮的主要外在動(dòng)因在于世界經(jīng)濟(jì)格局正在發(fā)生深刻變化。這些深刻變化主要體現(xiàn)為發(fā)展中經(jīng)濟(jì)體對(duì)發(fā)達(dá)經(jīng)濟(jì)體的趕超態(tài)勢(shì)、發(fā)達(dá)經(jīng)濟(jì)體和發(fā)展中經(jīng)濟(jì)體內(nèi)日益呈現(xiàn)"雙分化"現(xiàn)象及南北、南南經(jīng)濟(jì)關(guān)系正在經(jīng)歷重大變遷等特征。正是在世界經(jīng)濟(jì)新格局的背景下,中國(guó)企業(yè)的海外并購(gòu)在宏觀層面上可謂是"長(zhǎng)于布局,善謀大勢(shì)";在微觀層面上,中國(guó)企業(yè)海外并購(gòu)體現(xiàn)為并購(gòu)主體的"多樣化"、并購(gòu)方式的"多元化"、并購(gòu)區(qū)域的"廣泛化"和并購(gòu)增長(zhǎng)的"高速化"等趨勢(shì)。在為中國(guó)企業(yè)進(jìn)行海外并購(gòu)提供了新機(jī)遇的同時(shí),世
[Abstract]:Since the financial crisis, Chinese companies are making overseas mergers and acquisitions with unprecedented momentum, despite the grim prospects for world economic recovery and the downward trend in global foreign direct investment. The main external motive to push the oversea M & A boom of Chinese enterprises is that the world economic pattern is undergoing profound changes. These profound changes are mainly reflected in the situation of the developing economies catching up with the developed economies, the phenomenon of "double polarization" and the North-South phenomenon in the developed and developing economies, and the characteristics of the South-South economic relations are undergoing major changes. It is against the background of the new world economic pattern that the overseas mergers and acquisitions of Chinese enterprises can be described as "good at layout and good for the general trend" at the macro level; at the micro level, The overseas M & A of Chinese enterprises embodies the trend of "diversification" of the main body of M & A, "diversification" of M & A mode, "extensive" of M & A region and "high speed" of M & A growth.
