【摘要】:近兩年來(lái),越來(lái)越多的中國(guó)企業(yè)將跨國(guó)并購(gòu)作為走向國(guó)際化的通道,但是跨國(guó)并購(gòu)“火爆”的背后也存在很多問(wèn)題。我國(guó)家電行業(yè)近十年來(lái)不斷通過(guò)兼并重組和資源整合,從代工制造階段向品牌創(chuàng)建階段跨越式發(fā)展,形成全新的商業(yè)模式,然而并購(gòu)后整合階段由于各種“排異”現(xiàn)象卻導(dǎo)致最后的失敗。因此,本文從以上背景出發(fā),將論文方向聚焦到我國(guó)家電企業(yè)跨國(guó)并購(gòu)后整合案例中。本文采用文獻(xiàn)資料研究法和案例研究法,以跨國(guó)并購(gòu)后整合為分析視角。首先對(duì)跨國(guó)并購(gòu)后整合理論進(jìn)行文獻(xiàn)綜述,重點(diǎn)放在國(guó)內(nèi)外并購(gòu)后整合模型上。其次總結(jié)概括了我國(guó)家電行業(yè)近十年并購(gòu)歷程,分析了家電行業(yè)發(fā)展現(xiàn)狀及出現(xiàn)大規(guī)模并購(gòu)的原因。本文案例部分選取了海爾集團(tuán)三次跨國(guó)并購(gòu)整合事件作為分析對(duì)象,通過(guò)案例內(nèi)分析和跨案例分析歸納總結(jié)出海爾集團(tuán)跨國(guó)并購(gòu)后整合方式。本文案例分析并不采取單一論證模式,而是在統(tǒng)一的分析框架下,通過(guò)歸納總結(jié)出案例共性的機(jī)理特征,對(duì)同一案例對(duì)象三次跨國(guó)并購(gòu)后整合進(jìn)行的縱向比較分析。同時(shí)本文對(duì)并購(gòu)后整合效果或整合預(yù)期也進(jìn)行了分析,采用財(cái)務(wù)指標(biāo)與非財(cái)務(wù)指標(biāo)分析企業(yè)財(cái)務(wù)與經(jīng)營(yíng)狀況,運(yùn)用主成分分析法探究并購(gòu)后整合事件對(duì)企業(yè)績(jī)效產(chǎn)生作用的內(nèi)在機(jī)理。最后本文將海爾集團(tuán)跨國(guó)并購(gòu)后整合方式進(jìn)行了推廣,提出了我國(guó)企業(yè)跨國(guó)并購(gòu)后整合的一般方式框架圖。
[Abstract]:In the past two years, more and more Chinese enterprises regard cross-border M & A as the channel to internationalize. However, there are also many problems behind the "boom" of cross-border mergers and acquisitions. In the past ten years, the household appliance industry of our country has been continuously developing from the stage of contract manufacturing to the stage of brand creation through merger and reorganization and resource integration. The formation of a new business model, but the post-merger integration phase due to a variety of "exclusion" phenomenon led to the final failure. Therefore, this article from the above background. This paper focuses on the integration of domestic appliance enterprises after cross-border mergers and acquisitions. This paper uses the literature research method and the case study method. From the perspective of post-integration of cross-border mergers and acquisitions, this paper firstly reviews the theory of post-integration of cross-border mergers and acquisitions, focusing on the post-integration model at home and abroad. Secondly, it summarizes the recent ten years of M & A process in China's household appliances industry. This paper analyzes the current situation of household appliances industry development and reasons for large-scale mergers and acquisitions. This case selected three cross-border M & A integration events of Haier Group as the analysis object. Through the intra-case analysis and cross-case analysis to sum up the way of post-merger integration of Haier Group. This case study does not adopt a single demonstration model, but under the unified analysis framework. Through summing up the mechanism characteristics of case commonness, this paper makes a longitudinal comparative analysis of the integration after three cross-border mergers and acquisitions in the same case. At the same time, this paper also analyzes the effect or expectation of integration after merger and acquisition. Financial indicators and non-financial indicators are used to analyze the financial and business situation of enterprises. The principal component analysis method is used to explore the internal mechanism of the effect of post-merger integration events on corporate performance. Finally, this paper popularizes the post-merger integration mode of Haier Group. This paper puts forward the general framework chart of the post-merger integration of Chinese enterprises.
