【摘要】：在經(jīng)濟全球化的浪潮下,企業(yè)并購重組的現(xiàn)象越來越多。當(dāng)今世界是開發(fā)包容的世界,為了不想讓世界先進技術(shù)只掌握在少數(shù)人的手里,可以采取并購的方式強者聯(lián)合,共同進步,占領(lǐng)世界科技的最高峰。企業(yè)并購以后會更直接的感受到來自許多方面的壓力,并購能加速企業(yè)把并購的壓力轉(zhuǎn)化為前進的動力,增強國際凝聚力。弄清楚并購對技術(shù)創(chuàng)新績效的影響,掌握對方的核心技術(shù),選取恰當(dāng)?shù)姆椒▽冃нM行評價就顯得尤為重要。本文在研究前人文獻的基礎(chǔ)上,結(jié)合協(xié)同學(xué)的有關(guān)知識,從內(nèi)外因素兩方面分析企業(yè)并購對技術(shù)創(chuàng)新績效的影響,選取研究開發(fā)費和凈利潤兩個指標建立序參量演化方程,以中國南車與北車合并的案例為樣本,構(gòu)建復(fù)合系統(tǒng)協(xié)同度模型,給即將進行并購的企業(yè)提供有益的指導(dǎo)。本文將立足于分析企業(yè)并購以后,找出哪些因素對技術(shù)創(chuàng)新績效有影響,構(gòu)建序參量方程,把理論和實踐相結(jié)合,注重從個別到一般的研究過程。為實現(xiàn)對并購整合進行系統(tǒng)分析,本文主要采用以下三種分析方法:一是案例研究法;二是定量與定性研究相結(jié)合;三是統(tǒng)計分析法。創(chuàng)新點體現(xiàn)在一是運用協(xié)同學(xué)理論,先分析影響并購企業(yè)技術(shù)創(chuàng)新績效的因素及特點,深刻挖掘并購企業(yè)技術(shù)創(chuàng)新影響因素的協(xié)同學(xué)特征�；趨f(xié)同學(xué)的基本演化方程以及協(xié)同學(xué)的幾大要素,構(gòu)建和求解序參量方程,找出序參量。得出在適當(dāng)?shù)目刂谱兞肯?并購企業(yè)研究開發(fā)費用和凈利潤相互作用,形成穩(wěn)定解M的結(jié)論;二是在評價并購企業(yè)技術(shù)創(chuàng)新機制時,構(gòu)建企業(yè)并購的復(fù)合系統(tǒng)協(xié)同度模型,求出復(fù)合系統(tǒng)協(xié)同度。利用會計指標分析法搜集數(shù)據(jù),畫出復(fù)合系統(tǒng)協(xié)同度趨勢對比圖,得出中車的復(fù)合系統(tǒng)協(xié)同度還比較低的結(jié)論。
[Abstract]:Under the tide of economic globalization, the phenomenon of M & A is more and more. Today's world is a world of development and tolerance, in order not to let the world's advanced technology in the hands of only a few people, we can take the way of mergers and acquisitions of the strong joint, common progress, occupy the highest peak of the world's science and technology. After M & A, enterprises will feel more direct pressure from many aspects. M & A can accelerate the pressure of M & A into the driving force and enhance the international cohesion. It is very important to find out the influence of M & A on the performance of technological innovation, to master the core technology of the other side and to select the appropriate method to evaluate the performance. Based on the study of previous literatures and the related knowledge of Synergetics, this paper analyzes the influence of M & A on the performance of technological innovation from both internal and external factors, and establishes the evolution equation of order parameter by selecting two indexes of R & D cost and net profit. Taking the case of China Southern and North China Railway Corporation as a sample, this paper constructs a complex system synergy model to provide beneficial guidance for the enterprises about to merge. Based on the analysis of M & A, this paper will find out which factors have influence on the performance of technological innovation, construct the order parameter equation, combine theory with practice, and pay attention to the research process from individual to general. In order to realize the systematic analysis of M & A integration, this paper mainly adopts the following three analytical methods: first, the case study method; second, the combination of quantitative and qualitative research; third, the statistical analysis method. The first is to analyze the factors and characteristics that affect the performance of technological innovation of M & A enterprises by using the theory of Synergetics, and to dig out the characteristics of Synergetics of the influencing factors of technological innovation of M & A enterprises. Based on the basic evolution equation of Synergetics and several elements of Synergetics, the order parameter equation is constructed and solved, and the order parameter is found out. Under the appropriate control variables, the interaction between R & D costs and net profits of M & A enterprises is obtained, and a stable solution M is formed. Secondly, a complex system synergy model of M & A is constructed when evaluating the technological innovation mechanism of M & A enterprises. The cooperation degree of composite system is obtained. Using the accounting index analysis method to collect the data, draw the contrast chart of the synergy degree of the compound system, and draw the conclusion that the coordination degree of the compound system of the middle vehicle is still low.
