【摘要】:互聯(lián)網(wǎng)電子商務(wù)的發(fā)展始于二十世紀(jì)九十年代,二十多年的發(fā)展,互聯(lián)網(wǎng)電子商務(wù)已經(jīng)與經(jīng)濟(jì)產(chǎn)業(yè)緊密融合在了一起,滲透到了社會經(jīng)濟(jì)的各個領(lǐng)域,對推動經(jīng)濟(jì)增長,促進(jìn)就業(yè)方面起著越來越重要的作用。得益于互聯(lián)網(wǎng)和智能移動終端的快速普及以及資本市場的不斷完善,近年來,互聯(lián)網(wǎng)電子商務(wù)行業(yè)發(fā)展更加迅速,電子商務(wù)企業(yè)上市、并購案例不斷增加,如何確定和提升互聯(lián)網(wǎng)電子商務(wù)企業(yè)的價值,就成為了投資者和企業(yè)管理者關(guān)心的問題。結(jié)合這一時代背景,本文以互聯(lián)網(wǎng)電子商務(wù)企業(yè)為對象,對其企業(yè)價值和發(fā)展?jié)摿M(jìn)行研究。本文首先分析和歸納了互聯(lián)網(wǎng)電子商務(wù)企業(yè)的定義和類別,根據(jù)商業(yè)模式對現(xiàn)有互聯(lián)網(wǎng)電子商務(wù)企業(yè)經(jīng)營方式和盈利模式進(jìn)行了分析,列舉了不同類型的電子商務(wù)企業(yè)實(shí)現(xiàn)收入的方式與共同之處,并從宏觀和微觀的角度總結(jié)了影響互聯(lián)網(wǎng)電子商務(wù)企業(yè)發(fā)展?jié)摿推髽I(yè)價值的因素。本文結(jié)合互聯(lián)網(wǎng)電子商務(wù)企業(yè)特點(diǎn),分析了現(xiàn)有四種主流企業(yè)價值評估方法在互聯(lián)網(wǎng)電子商務(wù)企業(yè)價值評估上的局限性,提出了以傳統(tǒng)評估方法為基礎(chǔ),考慮互聯(lián)網(wǎng)電子商務(wù)企業(yè)發(fā)展?jié)摿ψ鳛樾拚男碌脑u估思路;在對研究者、企業(yè)提出的互聯(lián)網(wǎng)企業(yè)價值評估模型進(jìn)行研究后,本文選擇用貼現(xiàn)現(xiàn)金流模型對互聯(lián)網(wǎng)電子商務(wù)企業(yè)價值進(jìn)行評估,并基于影響互聯(lián)網(wǎng)電子商務(wù)企業(yè)發(fā)展?jié)摿推髽I(yè)價值的因素總結(jié),構(gòu)建出互聯(lián)網(wǎng)電商企業(yè)發(fā)展?jié)摿τ绊懼笜?biāo)體系,該體系的特點(diǎn)是綜合考慮影響互聯(lián)網(wǎng)電子商務(wù)企業(yè)發(fā)展?jié)摿Φ囊恍┮蛩刈鳛橹笜?biāo),并以之計(jì)算互聯(lián)網(wǎng)電子商務(wù)企業(yè)價值修正系數(shù),通過層次分析法對指標(biāo)權(quán)重進(jìn)行計(jì)算,通過收集到的企業(yè)指標(biāo)數(shù)據(jù),結(jié)合權(quán)重可以計(jì)算企業(yè)價值修正系數(shù);接著對互聯(lián)網(wǎng)電商企業(yè)價值評估的模型的修正、應(yīng)用步驟、相關(guān)參數(shù)的確定進(jìn)行了詳細(xì)地分析。本文最后將這一評估思路應(yīng)用到具體的案例中。以典型的綜合電商N(yùn)ewegg Inc(新蛋網(wǎng))作為案例,對Newegg的企業(yè)價值進(jìn)行評估,通過案例分析與并購作價對比,驗(yàn)證新的評估方法在互聯(lián)網(wǎng)企業(yè)價值評估中的適用性。
[Abstract]:The development of Internet e-commerce began in the 1990s, and has been developing for more than 20 years. Internet e-commerce has been closely integrated with the economic industry, infiltrating into various fields of social economy and promoting economic growth. The promotion of employment is playing an increasingly important role. Thanks to the rapid popularization of the Internet and intelligent mobile terminals and the continuous improvement of the capital market, in recent years, the Internet e-commerce industry has developed more rapidly, e-commerce enterprises have been listed, and the number of mergers and acquisitions has been increasing. How to determine and enhance the value of internet e-commerce enterprises has become the concern of investors and enterprise managers. Based on this background, this paper studies the value and development potential of internet e-commerce enterprises. This paper first analyzes and summarizes the definition and category of Internet e-commerce enterprises, and analyzes the business mode and profit model of existing Internet e-commerce enterprises according to the business model. This paper lists the ways and common points of different types of e-commerce enterprises to realize their income, and sums up the factors that affect the development potential and enterprise value of Internet e-commerce enterprises from the macro and micro angles. Based on the characteristics of Internet e-commerce enterprises, this paper analyzes the limitations of the existing four main methods of enterprise value evaluation in Internet e-commerce enterprises, and puts forward a traditional evaluation method as the basis. Considering the development potential of Internet e-commerce enterprises as a revised new evaluation thinking; after the research on the Internet enterprise value evaluation model proposed by researchers and enterprises, In this paper, the discounted cash flow model is used to evaluate the value of Internet e-commerce enterprises, and based on the factors that affect the development potential and enterprise value of Internet e-commerce enterprises, This paper constructs an index system of the development potential of Internet e-commerce enterprises. The characteristics of this system are that some factors affecting the development potential of Internet e-commerce enterprises are considered as indicators. And calculate the Internet e-commerce enterprise value correction coefficient, through the analytic hierarchy process to calculate the index weight, through the enterprise index data collected, combined with the weight can be used to calculate the enterprise value correction coefficient; Then, the model modification, application steps and the determination of relevant parameters of Internet e-commerce enterprise value evaluation are analyzed in detail. In the end, this paper applies this method to concrete cases. Taking Newegg (New Egg Network) as a case, this paper evaluates the enterprise value of Newegg, and verifies the applicability of the new evaluation method in Internet enterprise value evaluation by comparing the case analysis with M & A pricing.
