【摘要】:在新的發(fā)展形勢(shì)下,公司治理進(jìn)入了一個(gè)嶄新的階段,開(kāi)始從被動(dòng)合規(guī)向主動(dòng)創(chuàng)新發(fā)展。很多公司在遵守必要的強(qiáng)制性治理規(guī)則的前提下,開(kāi)始探索和創(chuàng)新滿(mǎn)足自身發(fā)展需求的公司治理制度,以提高管理效率和實(shí)現(xiàn)治理目的。阿里巴巴集團(tuán)是公司治理制度創(chuàng)新的一個(gè)典范。它為了實(shí)現(xiàn)特殊的治理目的,根據(jù)自身的實(shí)際情況創(chuàng)新了阿里巴巴合伙人制度。該制度引入了“合伙人”的概念,并通過(guò)公司章程和相關(guān)協(xié)議賦予他們提名董事會(huì)中大多數(shù)董事的權(quán)力,使他們?cè)趦H持少量股份的情況下獲得了公司的實(shí)際控制權(quán)。它最大的特點(diǎn)就是控制權(quán)和持股比例不相關(guān),即無(wú)視股權(quán)。本文以案例的形式對(duì)阿里巴巴合伙人制度進(jìn)行了較為全面的分析。在介紹阿里巴巴集團(tuán)的概況之后,本文從概念、產(chǎn)生、條件、權(quán)力和職責(zé)、退出以及當(dāng)前構(gòu)成等方面對(duì)阿里巴巴合伙人制度的內(nèi)容進(jìn)行了詳細(xì)的介紹,并將它分別與傳統(tǒng)合伙人制度和雙重股權(quán)制度對(duì)比。在對(duì)阿里巴巴合伙人制度的內(nèi)容有了較好的認(rèn)識(shí)以后,本文對(duì)其優(yōu)勢(shì)和缺陷進(jìn)行了分析。該制度的優(yōu)勢(shì)主要有:長(zhǎng)期而有效地保證管理層的控制權(quán)、降低管理層獲取控制權(quán)的成本、有利于發(fā)揮人力資本的作用、避免創(chuàng)始人的獨(dú)裁專(zhuān)制、有利于公司的穩(wěn)定和長(zhǎng)期發(fā)展;其缺陷主要有:合伙人的條件不夠明確、可能出現(xiàn)提名僵局、可能發(fā)生控制人風(fēng)險(xiǎn)、普通股東的權(quán)力受到較大限制等。本文還關(guān)注了股東對(duì)該制度的態(tài)度,因此分析了馬云堅(jiān)持該制度的動(dòng)因以及軟銀、雅虎和美國(guó)投資者接受該制度的原因。在上述分析的基礎(chǔ)上,本文對(duì)阿里巴巴合伙人制度提出了改進(jìn)意見(jiàn),同時(shí)分析了其他企業(yè)借鑒和運(yùn)用該制度的條件。文章的最后部分,談了阿里巴巴合伙人制度對(duì)企業(yè)和監(jiān)管當(dāng)局的啟發(fā),并提出了一些政策建議,即適時(shí)建立類(lèi)別股權(quán)板塊,并建立和完善相關(guān)配套機(jī)制。
[Abstract]:In the new development situation, corporate governance has entered a new stage, from passive compliance to active innovation development. Many companies in compliance with the prerequisite of mandatory governance rules. Begin to explore and innovate the corporate governance system to meet the needs of its own development. In order to improve the efficiency of management and achieve the goal of governance. Alibaba Group is a model of corporate governance system innovation. It is to achieve a special purpose of governance. The Alibaba partnership system, which introduced the concept of "partner" and empowered them to nominate most of the directors on the board through the articles of association and related agreements, was innovated according to its own circumstances. It enables them to obtain the actual control of the company in the case of holding only a small number of shares. Its biggest characteristic is that the control right is not related to the shareholding ratio. In the form of a case study of Alibaba partnership system. After introducing the general situation of Alibaba Group, this paper from the concept, production, conditions, power and responsibility. The contents of Alibaba's partnership system are introduced in detail in the aspects of withdrawal and current composition. And compares it with the traditional partner system and the dual equity system respectively. After had a better understanding to the Alibaba partner system content. This paper analyzes the advantages and disadvantages of this system. The main advantages of this system are: long-term and effective control of the management, reduce the cost of management to obtain control, conducive to the role of human capital. Avoiding the autocracy of the founder is conducive to the stability and long-term development of the company; The main defects are: the terms of the partners are not clear, there may be a deadlock in nomination, the risk of controller may occur, the power of ordinary shareholders is greatly restricted. This paper also pays attention to the attitude of shareholders to the system. Therefore, this paper analyzes the motivation of Ma Yun's adherence to the system and the reasons why Softbank Corp., Yahoo and American investors accept the system. On the basis of the above analysis, this paper puts forward some suggestions for improvement of Alibaba's partnership system. At the same time, it analyzes the conditions for other enterprises to use the system for reference. The last part of the article discusses the inspiration of Alibaba partnership system to enterprises and regulatory authorities, and puts forward some policy recommendations. That is, the timely establishment of class equity plate, and the establishment and improvement of relevant supporting mechanisms.
