【摘要】：本文在實踐的基礎上論述了央企控股上市公司行為的特殊規(guī)律和九大治理難題,分別為整體上市問題,同業(yè)競爭和關聯(lián)交易問題,信息披露的公平性和自愿性問題,法人治理結構問題,境內(nèi)外同時上市的規(guī)范運作及其監(jiān)管問題,分拆上市問題,以股份支付收購非同一控制下的資產(chǎn)問題,財務公司的管理與風險防范問題,以及上市公司市值管理問題等。結合神華集團在整體上市過渡期的安排、中國神華的公平信息披露與自愿性信息披露、和神華財務公司注入中國神華等3個典型案例深入分析。最后對央企控股上市公司的可持續(xù)發(fā)展提出建議。
[Abstract]:On the basis of practice, this paper discusses the special rules of the behavior of the listed companies controlled by the central enterprises and the nine major governance problems, which are the whole listing problem, the interbank competition and the related party transactions, the fairness and the voluntary nature of the information disclosure, respectively. The governance structure of legal persons, the normative operation and supervision of simultaneous listing at home and abroad, the issue of splitting and listing, the purchase of assets not under the same control by payment of shares, the management of financial companies and the prevention of risks, And listed companies market value management issues. Combined with the arrangement of Shenhua Group in the overall transitional period of listing, the fair and voluntary information disclosure of Shenhua and Shenhua Finance Company injection into China Shenhua three typical cases are deeply analyzed. At last, some suggestions are put forward for the sustainable development of the listed companies controlled by central enterprises.
