【摘要】：自從新三板掛牌企業(yè)范圍擴(kuò)大至全國高新區(qū)以來,各地中小企業(yè)為了發(fā)展積極響應(yīng)；大小券商和風(fēng)險投資機(jī)構(gòu)也到處跑馬圈地,欲在新三板市場中有所作為。作為中小企業(yè)融資的新渠道,新三板掛牌對企業(yè)來說機(jī)遇和挑戰(zhàn)并存。本文針對新三板的掛牌條件,結(jié)合作者實(shí)際工作中遇到的問題,包括法律層面的合法合規(guī)經(jīng)營、股份代持、同業(yè)競爭、關(guān)聯(lián)交易；財務(wù)管理層面的經(jīng)營目標(biāo)管理、照章納稅和合理避稅、財務(wù)人員和制度管理；經(jīng)營管理層面的管理規(guī)章制度建設(shè)、經(jīng)營團(tuán)隊建設(shè)等問題分別作了相關(guān)分析,并提出可能的解決方法,為合理控制擬掛牌企業(yè)在掛牌過程中可能出現(xiàn)的風(fēng)險提供借鑒。
[Abstract]:Since the scope of the new third board listed enterprises has been expanded to the national high-tech zones, small and medium-sized enterprises in various places have responded positively to the development of the new three boards, and large and small securities companies and venture capital institutions have also been running around to make a difference in the new three boards market. As a new channel for small and medium-sized enterprises to finance, the new three-board listing opportunities and challenges for enterprises. According to the listing conditions of the new third board, this paper combines with the problems encountered in the author's practical work, including legal compliance, share holding, interbank competition, related party transactions, financial management and management objectives. In accordance with regulations, tax payment and reasonable tax avoidance, financial personnel and system management, management rules and regulations at the level of management and management, management team building and other issues are analyzed respectively, and possible solutions are put forward. For the reasonable control of the proposed listed enterprises in the process of listing the risks that may appear to provide reference.
