【摘要】：股權(quán)結(jié)構(gòu)是公司治理結(jié)構(gòu)的基礎(chǔ),他決定著一個公司的經(jīng)營管理方式,而技術(shù)創(chuàng)新是一個公司構(gòu)建核心競爭力的重要手段,決定著一個公司是否能持續(xù)在市場上生存。因此,股權(quán)結(jié)構(gòu)和技術(shù)創(chuàng)新都是國內(nèi)外相關(guān)學(xué)者研究的重點(diǎn),但是通過閱讀文獻(xiàn)發(fā)現(xiàn),只有為數(shù)不多的學(xué)者研究股權(quán)結(jié)構(gòu)與技術(shù)創(chuàng)新產(chǎn)出的關(guān)系,且由于樣本、方法的不一致,他們的研究結(jié)論也不一樣。鑒于此,本文才嘗試研究兩者之間關(guān)系。本文以高技術(shù)產(chǎn)業(yè)78家上市公司2011年到2013年面板數(shù)據(jù)為樣本,對公司股權(quán)結(jié)構(gòu)與技術(shù)創(chuàng)新產(chǎn)出的之間的關(guān)系進(jìn)行了研究。通過研究,本文主要得出以下結(jié)論：(1) 高技術(shù)產(chǎn)業(yè)公司股權(quán)集中度與技術(shù)創(chuàng)新產(chǎn)出呈倒U型關(guān)系；(2)高技術(shù)產(chǎn)業(yè)上市公司股權(quán)制衡度與技術(shù)創(chuàng)新產(chǎn)出呈正相關(guān)關(guān)系；(3)高技術(shù)產(chǎn)業(yè)上市公司機(jī)構(gòu)投資者持股比例與技術(shù)創(chuàng)新產(chǎn)出呈正相關(guān)關(guān)系；(4)高技術(shù)產(chǎn)業(yè)上市公司管理層持股比例與技術(shù)創(chuàng)新產(chǎn)出呈正相關(guān)關(guān)系；(5)高技術(shù)產(chǎn)業(yè)上市公司股權(quán)流通性與技術(shù)創(chuàng)新產(chǎn)出呈負(fù)相關(guān)關(guān)系。根據(jù)實(shí)證結(jié)果,本文提出以下幾點(diǎn)建議：(1)實(shí)行相對控股的股權(quán)結(jié)構(gòu)模式；(2)引入理性的機(jī)構(gòu)投資者持股(3)保護(hù)中小股東利益,讓他們參與到公司治理中；(4)重視研發(fā)投入對企業(yè)技術(shù)創(chuàng)新的作用。
[Abstract]:Ownership structure is the basis of corporate governance structure. It determines the management mode of a company, and technological innovation is an important means for a company to build its core competitiveness, which determines whether a company can survive in the market. Therefore, equity structure and technological innovation are the focus of relevant scholars at home and abroad, but through reading the literature, it is found that only a few scholars study the relationship between ownership structure and technological innovation output, and because of the sample, the method is inconsistent. Their findings are also different. In view of this, this paper tries to study the relationship between the two. Based on the panel data of 78 listed companies in high-tech industry from 2011 to 2013, this paper studies the relationship between corporate equity structure and technological innovation output. The main conclusions of this paper are as follows: (1) the degree of ownership concentration and the output of technological innovation are inversely U-shaped; (2) there is a positive correlation between the degree of equity balance and the output of technological innovation in the listed companies of high-tech industry. (3) there is a positive correlation between the proportion of institutional investors' shareholding and the output of technological innovation in high-tech listed companies, (4) the proportion of managerial shareholding in listed companies in high-tech industries is positively correlated with the output of technological innovation. (5) there is a negative correlation between equity liquidity and technological innovation output. According to the empirical results, this paper puts forward the following suggestions: (1) to implement the equity structure model of relative control; (2) to introduce rational institutional investors' shareholding; (3) to protect the interests of minority shareholders and let them participate in corporate governance; (4) attach importance to the role of R & D investment in technological innovation of enterprises.
