【摘要】：銀光公司10萬(wàn)噸TDI建設(shè)項(xiàng)目具有建設(shè)周期長(zhǎng)、投資金額大、影響深遠(yuǎn)的特點(diǎn),該項(xiàng)目建設(shè)對(duì)于公司未來(lái)的生存和發(fā)展起著至關(guān)重要的作用。由于項(xiàng)目建設(shè)易受現(xiàn)場(chǎng)施工條件、自然環(huán)境、社會(huì)環(huán)境和市場(chǎng)經(jīng)濟(jì)的影響,在項(xiàng)目建設(shè)的過(guò)程中風(fēng)險(xiǎn)的存在很普遍。同時(shí)隨著建設(shè)規(guī)模的擴(kuò)大、技術(shù)難度的加大和激烈的市場(chǎng)競(jìng)爭(zhēng),風(fēng)險(xiǎn)程度日益增加,工程參與各方,尤其是業(yè)主,不可避免地面臨著各種各樣復(fù)雜的風(fēng)險(xiǎn)。這些風(fēng)險(xiǎn)會(huì)使得項(xiàng)目增加投資或遭受損失,甚至?xí)鬼?xiàng)目暫停、中止或是無(wú)法建設(shè),因此,在項(xiàng)目建設(shè)過(guò)程中,風(fēng)險(xiǎn)管理和防范是重要課題之一。對(duì)于建設(shè)一個(gè)現(xiàn)代化項(xiàng)目來(lái)講,是可以通過(guò)簽訂和履行一系列的合同來(lái)保證項(xiàng)目建設(shè)目標(biāo)的實(shí)現(xiàn),因而,合同管理是現(xiàn)代化建設(shè)項(xiàng)目的核心管理內(nèi)容之一。但是,在項(xiàng)目合同管理過(guò)程中,不但會(huì)面臨項(xiàng)目管理過(guò)程中的風(fēng)險(xiǎn),還會(huì)面臨合同管理制度、招投標(biāo)制度、監(jiān)管制度不完善以及知識(shí)產(chǎn)權(quán)管理水平較低帶來(lái)的自身合同風(fēng)險(xiǎn)。通過(guò)對(duì)合同管理中的風(fēng)險(xiǎn)因素進(jìn)行分析和辨識(shí),采取積極有效的措施防范合同管理風(fēng)險(xiǎn),既能夠很好的履行合同,又能達(dá)到在合同環(huán)境下管理項(xiàng)目建設(shè)的目的,促使項(xiàng)目管理內(nèi)部資源的合理調(diào)配。因而,合同管理及其風(fēng)險(xiǎn)防范對(duì)于現(xiàn)代化建設(shè)項(xiàng)目來(lái)說(shuō)是非常重要和有效的管理手段之一。本文以銀光公司10萬(wàn)噸TDI項(xiàng)目建設(shè)中合同管理風(fēng)險(xiǎn)為研究對(duì)象,從項(xiàng)目業(yè)主的角度出發(fā),對(duì)銀光公司現(xiàn)有合同管理現(xiàn)狀進(jìn)行闡述和分析,并結(jié)合10萬(wàn)噸TDI建設(shè)項(xiàng)目,對(duì)建設(shè)項(xiàng)目中合同管理存在的風(fēng)險(xiǎn)因素進(jìn)行辨識(shí)。進(jìn)一步引入風(fēng)險(xiǎn)評(píng)估技術(shù)和方法,對(duì)10萬(wàn)噸TDI建設(shè)項(xiàng)目合同風(fēng)險(xiǎn)因素進(jìn)行評(píng)估,得出了項(xiàng)目建設(shè)中存在的重大合同風(fēng)險(xiǎn)因素、中度合同風(fēng)險(xiǎn)因素和輕度合同風(fēng)險(xiǎn)因素。在對(duì)項(xiàng)目合同風(fēng)險(xiǎn)評(píng)估的基礎(chǔ)上,分別從重視項(xiàng)目建設(shè)中的招投標(biāo)風(fēng)險(xiǎn)管理和建設(shè)施工階段的合同風(fēng)險(xiǎn)管理、保護(hù)10萬(wàn)噸TDI建設(shè)項(xiàng)目中的知識(shí)產(chǎn)權(quán)、完善和健全項(xiàng)目合同管理制度和程序以及合同風(fēng)險(xiǎn)分擔(dān)機(jī)制五個(gè)方面進(jìn)行了詳細(xì)的論述,寄希望以合同管理為連線,提高10萬(wàn)噸TDI建設(shè)項(xiàng)目合同履約率,統(tǒng)籌實(shí)現(xiàn)項(xiàng)目的安全、進(jìn)度、費(fèi)用、質(zhì)量目標(biāo),減少項(xiàng)目建設(shè)風(fēng)險(xiǎn)和損失,確保項(xiàng)目實(shí)現(xiàn)預(yù)期建設(shè)效益。希望通過(guò)本課題的研究有助于提高10萬(wàn)噸TDI建設(shè)項(xiàng)目管理部門(mén)和管理人員對(duì)合同風(fēng)險(xiǎn)的認(rèn)識(shí),指導(dǎo)10萬(wàn)噸TDI項(xiàng)目建設(shè)和為國(guó)內(nèi)同類(lèi)項(xiàng)目的籌備和實(shí)施提供有益的幫助。
[Abstract]:The 100000 ton TDI construction project of Yinguang Company has the characteristics of long construction period, large investment amount and far-reaching influence. The construction of the project plays a vital role in the future survival and development of the company. Because the project construction is easy to be affected by the site construction conditions, natural environment, social environment and market economy, the risk of the project construction process is very common. At the same time, with the expansion of construction scale, the increase of technical difficulty and fierce market competition, the degree of risk is increasing day by day. All parties involved in the project, especially the owners, inevitably face a variety of complex risks. These risks will cause the project to increase investment or suffer losses, even make the project suspend, stop or can not be built. Therefore, risk management and prevention is one of the important issues in the process of project construction. For the construction of a modern project, it is possible to sign and perform a series of contracts to ensure the realization of the project construction objectives. Therefore, contract management is one of the core management contents of the modernization project. However, in the process of project contract management, it will not only face the risks in the process of project management, but also will face the contract management system, bidding system, regulatory system is not perfect, and the low level of intellectual property management brings about the risk of their own contracts. Through the analysis and identification of the risk factors in contract management, taking active and effective measures to prevent the risk of contract management can not only fulfill the contract well, but also achieve the purpose of managing the project construction under the contract environment. Promote the rational allocation of internal resources in project management. Therefore, contract management and its risk prevention are very important and effective management means for modernization project. This paper takes the risk of contract management in the construction of 100000 ton TDI project of Yinguang Company as the research object, from the angle of the project owner, expounds and analyzes the present situation of contract management of Yinguang Company, and combines with the 100000 ton TDI construction project. The risk factors of contract management in construction project are identified. The risk factors of 100000 ton TDI construction project are evaluated by introducing risk assessment techniques and methods, and the major contract risk factors, moderate contract risk factors and mild contract risk factors in the construction of the project are obtained. Based on the evaluation of the project contract risk, the author pays attention to the risk management of bidding and bidding in the project construction and the contract risk management in the construction stage, and protects the intellectual property rights in the 100000 ton TDI construction project. Five aspects of project contract management system and procedure and contract risk sharing mechanism are discussed in detail. It is hoped that the contract performance rate of 100000 ton TDI construction project will be improved, and the project safety will be realized as a whole. Schedule, cost, quality target, reduce project construction risk and loss, ensure project achieve expected construction benefits. It is hoped that the research on this topic will help to improve the understanding of the contract risk of the 100000 ton TDI construction project management department and managers, guide the 100000 ton TDI project construction and provide useful help for the preparation and implementation of the similar projects in China.
