【摘要】：隨著經(jīng)濟的發(fā)展,我國在國際上的影響力越來越顯著,如何在激烈的國際競爭中立于領(lǐng)先地位,取得長盛不衰的發(fā)展是我國經(jīng)濟發(fā)展過程中尤為重要的問題。當前,越來越多的企業(yè)實施企業(yè)重組與并購,通過企業(yè)之前的合作與整合力圖在激烈的競爭中取得有效的資源配置、提高企業(yè)市場競爭力。這種企業(yè)之間的整合與發(fā)展是否真正有利于企業(yè)實力的提升,在企業(yè)合并重組過程中的財政與稅收的相關(guān)政策法規(guī)如何規(guī)范解決合并企業(yè)的財稅問題,是當前學術(shù)界正在研究的重要內(nèi)容,作為我國經(jīng)濟社會的重要組成部分,我們應通過對企業(yè)并購重組的研究來探討財政稅收政策的執(zhí)行力。DF錳業(yè)公司是一家大型的錳業(yè)公司,錳業(yè)行業(yè)中的龍頭企業(yè)。為了擴大規(guī)模和追求利潤,DF錳業(yè)公司對B公司進行了并購重組,但是在并購重組過程中出現(xiàn)了多種問題：在重組過程中沒有形成企業(yè)的核心競爭力、重組后的財務重組沒有實質(zhì)性的進展、并購重組后企業(yè)集團內(nèi)部出現(xiàn)同業(yè)競爭的情況以及財務重組與業(yè)務重組匹配度差,缺乏系統(tǒng)性等。本文以企業(yè)重組和涉稅問題的相關(guān)理論為理論基礎(chǔ),以DF錳業(yè)為研究對象,深入的分析了在DF錳業(yè)重組過程中的涉稅環(huán)節(jié)以及存在的問題,以購買法和權(quán)益聯(lián)營法這兩種財務處理方法來解決重組過程中出現(xiàn)的財稅問題,并且對DF錳業(yè)進行了實例分析。本文旨在對企業(yè)重組中出現(xiàn)的財稅問題提供了重視企業(yè)的無形資源提升企業(yè)競爭力、明確戰(zhàn)略目標防止同業(yè)競爭、實施會計核算體系以及完善全面預算管理等切實可行的處理方案,希望能夠提高案例企業(yè)的經(jīng)營效益。
[Abstract]:With the development of economy, the influence of our country in the world is becoming more and more remarkable. How to stand in the leading position in the fierce international competition and achieve the development for a long time is a particularly important problem in the process of our country's economic development. More and more enterprises carry out enterprise reorganization and merger and acquisition. Through the cooperation and integration of enterprises before, they try to achieve effective resource allocation in the fierce competition. Whether the integration and development of this kind of enterprises is really conducive to the improvement of enterprise strength, how to normalize the fiscal and tax policies and regulations in the process of corporate merger and reorganization, and how to solve the fiscal and tax problems of the merged enterprises? As an important part of our country's economy and society, we should discuss the implementation of fiscal and tax policies through the study of mergers and acquisitions of enterprises. DF Manganese Industry Company is a large manganese industry company. In order to expand the scale and pursue the profit, DF Manganese Industry Company has acquired and reorganized Company B, but in the process of M & A and reorganization, there are many problems: in the process of reorganization, the core competitiveness of the enterprise has not been formed. There has been no substantial progress in the financial restructuring after the reorganization. After mergers and acquisitions, the situation of interbank competition within the enterprise groups and the poor matching degree between the financial restructuring and the business restructuring, Based on the theory of enterprise reorganization and tax-related issues, this paper takes DF manganese industry as the research object, deeply analyzes the tax-related links and existing problems in the process of the reorganization of DF manganese industry. To solve the fiscal and taxation problems in the process of restructuring, two kinds of financial treatment methods, the purchase method and the equity pool method, are used to solve the problem. This paper aims to provide the invisible resources of enterprises to enhance the competitiveness of enterprises and clear the strategic objectives to prevent the competition of the same industry, this paper aims to provide the invisible resources of enterprises to enhance the competitiveness of enterprises, and to make clear the strategic objectives to prevent the competition in the same industry. It is hoped that the implementation of accounting system and the improvement of comprehensive budget management can improve the operating efficiency of the case enterprises.
