【摘要】:集團(tuán)管控一直是大中型集團(tuán)公司的管理難題,其發(fā)展?fàn)顩r、組織結(jié)構(gòu)以及運(yùn)營模式在很大程度上決定集團(tuán)公司管控工作的實(shí)施,我國的集團(tuán)管控發(fā)展歷程比較短,缺乏集團(tuán)運(yùn)營經(jīng)驗(yàn),集團(tuán)分權(quán)控制不利,組織結(jié)構(gòu)及管控方式很不成熟。在發(fā)展過程中很容易被行政管理所制約出現(xiàn)“大公司病”。表現(xiàn)形式有集團(tuán)內(nèi)部資源利用率低、內(nèi)部協(xié)調(diào)溝通性差、發(fā)展出現(xiàn)瓶頸等問題,集團(tuán)公司對子公司分權(quán)、集權(quán)政策不明朗,希望發(fā)揮子公司的主觀能動(dòng)性又怕對子公司失去控制,于是如何設(shè)計(jì)集團(tuán)公司的組織架構(gòu)、如何分配集團(tuán)總部與子公司之間的權(quán)力以及如何對子公司進(jìn)行管控以、是眾多集團(tuán)公司所要面臨的問題。 對于集團(tuán)管控的研究始于西方,隨著改革開放而帶來的社會(huì)經(jīng)濟(jì)的高速發(fā)展,集團(tuán)管控理論于20世紀(jì)80年代傳入于中國。近年來,由于企業(yè)規(guī)模和業(yè)務(wù)范圍正不斷擴(kuò)大,企業(yè)集團(tuán)內(nèi)部管理的整合越來越頻繁,其管控也因此受到企業(yè)界和學(xué)術(shù)界的廣泛重視。 要達(dá)成企業(yè)集團(tuán)管控的目標(biāo),應(yīng)該全面了解其管控的內(nèi)涵、應(yīng)遵循的原則和對已有的管控模式分析,再思考企業(yè)集團(tuán)總體治理結(jié)構(gòu)構(gòu)建、組織職能的設(shè)置及權(quán)限配置,以及管理績效的考核。只有全面、系統(tǒng)的實(shí)施企業(yè)集團(tuán)管控才能達(dá)成既定的管控目標(biāo),并且形成對某一個(gè)企業(yè)乃至行業(yè)具有針對性的、特有的一套管理理論與方法。 LW公司作為剛剛進(jìn)行集團(tuán)化管理的地區(qū)性國有控股企業(yè),也面臨著各種集團(tuán)管控的問題。本文立足于國際、國內(nèi)較為先進(jìn)和成熟的管控理論,運(yùn)用用理論與實(shí)際相結(jié)合的研究方法,在如何推行有效地LW公司集團(tuán)化管控方面進(jìn)行探索和研究,將有利于企業(yè)的科學(xué)、可持續(xù)發(fā)展,并對即將實(shí)行集團(tuán)化運(yùn)營的企業(yè)有一定的借鑒意義。
[Abstract]:Group control has always been a management problem for large and medium-sized group companies. Its development, organizational structure and operation mode to a large extent determine the implementation of the management and control work of the group company. The development of group management and control in our country is relatively short, lack of group operation experience, group decentralization control is unfavorable. The organization structure and management mode are not mature. In the process of development, it is easy to be restricted by the administrative management to appear "big company disease". The forms include low utilization rate of internal resources and poor internal coordination and communication. Problems such as bottlenecks in development, decentralization of subsidiaries, centralization policy is not clear, hoping to give play to the subjective initiative of the subsidiary company and afraid of losing control over the subsidiary, so how to design the organizational structure of the group company. How to distribute the power between the headquarters and the subsidiaries and how to control the subsidiaries are the problems faced by many group companies. With the rapid development of social economy brought by the reform and opening up, the theory of group management and control was introduced into China in 1980s. Due to the expansion of enterprise scale and business scope, the integration of internal management of enterprise group is becoming more and more frequent, and the management and control of enterprise group is paid more and more attention by the business and academic circles. In order to achieve the goal of enterprise group control, we should fully understand the connotation of management and control, should follow the principles and existing management and control model analysis, and then consider the overall governance structure of enterprise groups. The establishment of organizational functions and the allocation of authority, as well as the evaluation of management performance. Only comprehensive, systematic implementation of enterprise group control can achieve the established control objectives. And form a specific set of management theory and methods for a certain enterprise or even the industry. As a regional state-owned holding enterprise, LW Company is facing various problems of group control. This paper is based on the international, domestic more advanced and mature control theory. Using the research method of combining theory with practice, how to carry out effective group management and control of LW company will be beneficial to the scientific and sustainable development of enterprises. And will be the implementation of collectivization operation of enterprises have certain reference significance.
